- Place of Performance: All carpentry work under this Purchase Order shall be executed at the project site located in Gerji, Addis Ababa, Ethiopia, and at the Carpenter's workshop in Shiro Meda, Addis Ababa, as directed by the Project Manager.
- Timeline: The Carpenter shall commence work no later than 20 June 2025 and shall complete all fabrication, installation, and finishing by 30 July 2025. Delays beyond the stipulated date shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, as per Ethiopian commercial law.
- Quality Standards: All woodwork must meet the standards set by the Ethiopian Building Code and the specifications outlined in the attached technical drawings (Annex A). The Carpenter guarantees that all timber used shall be properly seasoned, free of termites, and compliant with the Addis Ababa City Environmental Protection Bureau regulations regarding sustainable sourcing.
- Payment Schedule: Payment shall be made in three installments: 30% (ETB 1,174,725) upon signing of this Purchase Order; 40% (ETB 1,566,300) upon completion of fabrication and delivery of all items to the Addis Ababa project site; and 30% (ETB 1,174,725) upon final inspection, acceptance, and issuance of a completion certificate by the Project Manager.
- Warranty: The Carpenter provides a warranty of 24 months on all carpentry work and materials supplied under this Purchase Order. Any defects arising from workmanship or material failure within this period shall be rectified at the Carpenter's own cost within 14 days of written notice.
- Compliance with Ethiopian Law: The Carpenter confirms that he is a registered and licensed tradesman in Ethiopia Addis Ababa, holds a valid trade license from the Addis Ababa City Trade & Industry Bureau, and is in good standing with the Ethiopian Revenue and Customs Authority. All labor engaged by the Carpenter shall be in compliance with the Ethiopian Labor Proclamation (No. 1156/2019).
- Insurance and Liability: The Carpenter shall maintain adequate public liability insurance and workers' compensation coverage for the duration of the project. The Carpenter assumes full responsibility for any damage to the project site, adjacent structures, or third-party property caused by his work or his employees.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation. Failing resolution within 30 days, the matter shall be referred to the Addis Ababa City Commercial Court in accordance with Ethiopian civil and commercial law.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or supply chain disruptions specific to the Ethiopia Addis Ababa region.
- Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by both parties. Any change in scope, quantity, or timeline must be documented as a formal Purchase Order amendment.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. This document constitutes a binding agreement between Addis Ababa Construction & Interiors PLC and the Carpenter named herein for the carpentry services and materials described above.
