- Payment Terms: 30% advance upon acceptance of this Purchase Order; 40% upon completion of items 01–04; 30% upon final inspection sign-off. Payment by SEPA bank transfer to the Carpenter's account (IBAN: FR76 3000 4000 0312 3456 7890 123). Invoices must reference Purchase Order No. PO-FR-LY-2025-0487.
- Timeline: The Carpenter shall commence work no later than 1 July 2025 and complete all items by 29 August 2025. A detailed weekly schedule shall be submitted to the Buyer within five (5) business days of this Purchase Order's acceptance.
- Compliance with France Lyon Regulations: All work performed in France Lyon shall adhere to the Métropole de Lyon's noise restrictions (no power tools before 08:00 or after 18:00 on weekdays; no work on Sundays or public holidays). The Carpenter is responsible for obtaining and maintaining all necessary local permits, including the Déclaration préalable de travaux filed with the Lyon city hall (Hôtel de Ville de Lyon, 12 Place de la Comédie, 69002 Lyon).
- Materials & Sustainability: All timber used must be FSC or PEFC certified. The Carpenter shall provide chain-of-custody documentation for each wood species. In accordance with French environmental law (Code de l'Environnement, Article L541-1), all offcuts and wood waste shall be sorted and recycled through a licensed waste carrier registered in the SIRENE database.
- Warranty: The Carpenter provides a ten-year structural warranty (garantie décennale) on all load-bearing carpentry elements, in compliance with the French Insurance Code (Code des Assurances, Articles L241-1 to L243-10). A two-year functional warranty (garantie de parfait achèvement) applies to all non-structural joinery, finishes, and hardware.
- Insurance: The Carpenter shall maintain, at minimum, a professional liability policy (assurance responsabilité civile professionnelle) with a coverage of no less than €5,000,000 and a décennale insurance policy valid for the duration of the project plus ten years. Certificates of insurance shall be provided prior to commencement of work.
- Health & Safety: The Carpenter and all personnel working on-site in France Lyon shall comply with the French Labour Code (Code du Travail) provisions regarding construction site safety, including the Plan Particulier de Sécurité et de Protection de la Santé (PPSPS). Personal protective equipment (PPE) is mandatory at all times.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved by the commercial courts of Lyon (Tribunal de Commerce de Lyon, 12 Rue du Président Edouard Herriot, 69002 Lyon, France). The governing law is French law.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or supply chain disruptions affecting the France Lyon region.
