The work is to be carried out within the France Marseille metropolitan area, specifically within the 6th arrondissement of Marseille. The Carpenter is required to hold a valid Qualif'Bois certification and must demonstrate a minimum of ten (10) years of professional experience in residential and commercial carpentry within the France Marseille region.

- Payment Schedule: A deposit of 30% (€ 20,113.20) is due upon acceptance of this Purchase Order. A further 40% (€ 26,817.60) is payable upon completion of the structural timber framing and kitchen cabinetry installation (end of Week 6). The remaining 30% (€ 20,113.20) is due upon final handover and sign-off by the Buyer's site supervisor.
- Payment Method: All payments shall be made by bank transfer (virement bancaire) to the account of the Carpenter as specified in the supplier details above. Invoices must reference this Purchase Order number (PO-MRS-2025-04782).
- Delivery and Access: All materials and equipment must be delivered to the project site at 7 Avenue du Prado, 13006 Marseille, France. The Buyer shall ensure that the site is accessible to the Carpenter's delivery vehicles between 07:00 and 18:00, Monday through Friday. Parking for the Carpenter's van and material staging shall be provided on-site.
- Quality and Compliance: The Carpenter warrants that all work shall be executed in a workmanlike manner, in full compliance with French building codes, the DTU standards referenced herein, and the specific requirements of the France Marseille urban planning authority (Direction de l'Urbanisme de la Ville de Marseille). All timber products must carry the CE marking and, where applicable, the PEFC or FSC sustainability certification.
- Insurance: The Carpenter shall maintain, at their own cost, a valid professional liability insurance policy (assurance réponse civile professionnelle) with a minimum coverage of € 1,000,000 per occurrence, as well as a multi-risk construction insurance (assurance tous risques démolition-rénovation) for the duration of the project. Certificates of insurance must be provided to the Buyer prior to the commencement of work.
- Warranty: The Carpenter provides a statutory warranty of two (2) years on all workmanship and a warranty of ten (10) years on structural timber elements, in accordance with Articles 1792 and 2270 of the French Civil Code (garantie de deux ans / garantie décennale).
- Delays and Penalties: In the event that the Carpenter fails to meet the completion dates specified in Section 3 without prior written agreement from the Buyer, a penalty of 0.5% of the total contract value per calendar day of delay shall be applied, up to a maximum of 10% of the total contract value.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved amicably. Failing amicable resolution within thirty (30) days, the matter shall be submitted to the competent courts of Marseille (Tribunal Judiciaire de Marseille), 13001 France. The governing law is French law.
- Force Majeure: Neither party shall be liable for delays caused by events beyond their reasonable control, including but not limited to severe weather conditions affecting the Marseille coastline, strikes, or government-mandated work stoppages.
- Confidentiality: The Carpenter agrees to treat all project plans, architectural drawings, and proprietary information of the Buyer as confidential and shall not disclose them to any third party without prior written consent.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order.
