TERMS AND CONDITIONS
- This Purchase Order constitutes a binding offer for the procurement of carpenter services and associated timber materials as specified herein. Acceptance of this Purchase Order by the Carpenter contractor, Meisterbetrieb Holz & Form – Karl-Heinz Brandt e.K., shall form a legally binding contract governed by the laws of the Federal Republic of Germany, specifically the German Civil Code (Bürgerliches Gesetzbuch – BGB) §§ 631–651 (Werkvertrag) and the German Commercial Code (HGB).
- All carpenter work shall be executed in strict compliance with the applicable German building regulations (Landesbauordnung – LBO Berlin-Brandenburg), DIN standards for wood construction (DIN 1052, DIN 1055), and the requirements of the Handwerkskammer Berlin. The Carpenter shall ensure that all workmanship meets the quality standards expected of a certified Zimmereimeister (Master Carpenter) operating within the city of Berlin.
- Delivery and installation of all carpenter-crafted items shall take place at the project site located at Friedrichstraße 88, 10117 Berlin, Germany. The Carpenter is responsible for all logistics, including transport within Berlin, loading, unloading, and on-site assembly. Working hours on-site are limited to Monday through Friday, 07:00–17:00, in accordance with local noise regulations (Immissionsschutzgesetz) applicable in the Berlin-Mitte district.
- Payment shall be made via bank transfer (SEPA-Überweisung) to the account designated by the Carpenter within thirty (30) calendar days of receipt of a valid invoice. The invoice must include the Carpenter's USt-IdNr., the PO number (PO-2025-BER-00472), and a detailed breakdown of all services rendered and materials supplied. Late payments shall incur interest at the statutory rate (Verzugszins) of 8 percentage points above the European Central Bank base rate, as stipulated under § 288 BGB.
- The Carpenter warrants that all timber materials supplied are free from defects, sourced from sustainably managed forests (FSC or PEFC certified), and comply with the German Timber Trade Association (Deutscher Holzfachhandel) quality grading. A minimum warranty period of five (5) years applies to all structural carpenter work and three (3) years to all finishing and decorative woodwork, in accordance with § 634a BGB.
- In the event of a dispute arising from this Purchase Order, the exclusive jurisdiction shall be the competent court in Berlin, Germany (Amtsgericht or Landgericht Berlin, depending on the value in dispute). The parties agree to attempt mediation through the Handwerkskammer Berlin before initiating formal legal proceedings.
- This Purchase Order may only be amended or modified in writing, signed by both parties. Verbal agreements or modifications made on-site by the Carpenter's crew do not alter the terms of this document unless confirmed in a written addendum (Nachtrag) referencing this PO number.
- The Carpenter shall maintain adequate liability insurance (Betriebshaftpflichtversicherung) with a minimum coverage of € 5,000,000 for the duration of the project and shall provide a certificate of insurance upon request before commencing work at the Berlin site.
