The Carpenter shall commence work on 1 July 2025 at the Germany Frankfurt site and shall complete all scope items no later than 15 August 2025. All materials and finished carpentry components must be delivered to the site in Frankfurt am Main no fewer than five (5) business days prior to their scheduled installation. The Carpenter is required to submit a detailed weekly progress report to the Buyer's project manager every Friday by 17:00 CET.
Payment for this Purchase Order shall be made in accordance with the following schedule: a 30% advance payment (EUR 68,551.14) upon execution of this Purchase Order; 40% (EUR 91,401.52) upon completion of structural and flooring work (Items 01, 04, and 06); and the remaining 30% (EUR 68,551.14) upon final inspection, sign-off, and issuance of the completion certificate by the Buyer. All payments shall be made via bank transfer to the Carpenter's designated account in Frankfurt. Invoices must reference this Purchase Order number (PO-2025-FRA-04872) and shall be payable within thirty (30) calendar days of receipt.
- This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.
- The Carpenter warrants that all work performed under this Purchase Order shall be executed in a workmanlike manner, in full compliance with German building regulations, Hessian state construction law, and all applicable DIN and EN standards for woodwork and joinery.
- The Carpenter shall maintain valid professional liability insurance (Berufshaftpflichtversicherung) with a minimum coverage of EUR 2,000,000 for the duration of the project in Germany Frankfurt. Proof of insurance shall be provided prior to commencement of work.

- Force majeure events, including but not limited to natural disasters, government-mandated work stoppages in Germany Frankfurt, or supply chain disruptions beyond the Carpenter's reasonable control, shall extend the project timeline proportionally without penalty to either party.
- The Carpenter shall not subcontract any portion of the work specified in this Purchase Order without prior written consent from the Buyer. Any approved subcontractor shall be bound by the same terms and conditions as the primary Carpenter.
- This Purchase Order becomes effective upon signature by both parties and remains valid until all obligations have been fulfilled, all payments have been settled, and the warranty period has expired.
