- Compliance with Local Regulations: The Carpenter shall perform all work in strict accordance with the Tehran Municipality building regulations, the Iranian National Building Standards (Sazman-e Standard-ha-ye Melli), and all applicable environmental and safety codes in force in Tehran, Iran. Any required permits or inspections shall be coordinated by the Carpenter with the local District 22 municipal office.
- Timeline: All carpentry work shall be commenced no later than 20 Farvardin 1404 (March 10, 2025) and completed no later than 15 Ordibehesht 1404 (April 5, 2025). Delays exceeding five (5) business days without written justification from the Carpenter shall incur a penalty of 0.5% of the total Purchase Order value per day of delay.
- Materials and Quality: All wood materials (oak, walnut, cedar) shall be sourced from certified suppliers within Iran or approved international vendors, and must meet the moisture content and grade specifications outlined in the project technical annex. The Carpenter is responsible for material storage, protection from Tehran's seasonal humidity, and proper acclimatization prior to installation.
- Workmanship Warranty: The Carpenter provides a minimum two-year (24-month) warranty on all carpentry workmanship and structural woodwork. Any defects arising from poor workmanship within this period shall be rectified at no additional cost to the purchaser.
- Site Safety: The Carpenter shall ensure full compliance with occupational health and safety standards as mandated by the Iranian Ministry of Labor. All workers on the Tehran site must wear appropriate personal protective equipment (PPE). The Carpenter is liable for any injuries or accidents occurring due to negligence on the job site.
- Intellectual Property and Design: All custom designs, carved patterns, and technical drawings provided by Alborz Construction & Interiors Co., Ltd. remain the exclusive property of the purchaser. The Carpenter shall not reproduce, share, or use these designs for any other project without written consent.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be referred to the competent commercial court in Tehran, Iran, in accordance with the Iranian Civil Code and the Law of Obligations.
- Force Majeure: Neither party shall be held liable for delays or non-performance caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or supply chain disruptions affecting the Tehran region, provided that the affected party notifies the other in writing within 48 hours.
- Subcontracting: The Carpenter shall not subcontract any portion of the carpentry work without prior written approval from Alborz Construction & Interiors Co., Ltd. Any approved subcontractor shall be bound by the same terms and conditions as stated in this Purchase Order.
- Tax and Duties: All applicable Value Added Tax (VAT) and any local municipal levies in Tehran, Iran, are included in the unit prices stated in this Purchase Order. The Carpenter shall provide a valid tax invoice (Faktor-e Maliyati) for each payment milestone.
This Purchase Order becomes binding upon signature by both parties. The Carpenter acknowledges receipt of all project specifications, site access instructions, and technical drawings for the Tehran residential development.
