Terms & Conditions of this Purchase Order- Acceptance: This Purchase Order is issued by Milano Costruzioni S.r.l. and constitutes a binding request for the Carpenter, Maestro Giacomo Ferrante, to perform the carpentry works and supply the materials described herein. Acceptance is confirmed by the Carpenter's written signature below or by commencing work on the Italy Milan site.
- Project Location: All Carpenter services, material deliveries, and on-site work shall be carried out exclusively at the project address in Italy Milan (Via Dante 55, 20121 Milano, MI). The Carpenter shall comply with all local municipal regulations of the Comune di Milano regarding construction noise, waste disposal, and site access.
- Timeline: The Carpenter shall mobilise to the Italy Milan site no later than 1 July 2025 and complete all works by 30 August 2025. Any delay attributable to the Carpenter shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, capped at 10%.
- Payment Terms: Payment shall be made in three instalments: 30% upon signing of this Purchase Order, 50% upon completion of 75% of the Carpenter's fabrication and installation work (verified by site inspection in Italy Milan), and 20% upon final acceptance and handover. All payments via bank transfer to the Carpenter's designated Italian bank account (IBAN to be provided).
- Quality & Standards: All carpentry work shall conform to the Italian technical standard UNI EN 14372 (wooden staircases) and UNI EN 12048 (wooden flooring), as well as the specific design specifications attached to this Purchase Order. The Carpenter warrants all workmanship for a period of 24 months from the date of final acceptance.
- Materials: The Carpenter shall use only the specified Italian hardwoods and certified FSC-sourced timber. Substitution of materials requires prior written approval from the issuing company. All materials delivered to the Italy Milan site shall be stored in a covered, dry area to prevent warping or moisture damage.
- Insurance & Liability: The Carpenter shall maintain full professional liability insurance (RC Professionale) and workers' compensation coverage (INAIL) for the duration of the project. The Carpenter is solely responsible for any damage to the Italy Milan property or injury to personnel arising from the execution of the carpentry works.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through the competent courts of Milano, Italy Milan, in accordance with Italian civil law (Codice Civile). The parties agree to attempt mediation before initiating legal proceedings.
- Confidentiality: The Carpenter agrees to treat all architectural drawings, project specifications, and client information related to this Italy Milan project as strictly confidential and shall not disclose them to third parties without written consent.
