The Carpenter shall commence on-site work at the Rome, Italy location no later than 1 September 2025 and shall complete all carpenter services by 28 February 2026. All prefabricated woodwork components shall be manufactured at the Carpenter's workshop in Rome and delivered to the site in Via Aurelia, Rome, Italy, in accordance with the phased schedule attached as Appendix A to this Purchase Order. The Carpenter is required to coordinate all deliveries with the site manager and to comply with the restricted traffic zone (ZTL) regulations of the Comune di Roma, obtaining all necessary permits for vehicle access to the work area.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from this Purchase Order relating to the Carpenter's services in Italy Rome shall be subject to the exclusive jurisdiction of the Tribunale di Roma.
- Payment Terms: Payment shall be made in four instalments: 30% upon signing of this Purchase Order, 30% upon completion of structural carpenter work (Items 01, 05), 30% upon completion of all installation work, and 10% upon final acceptance and issuance of the collaudo (completion certificate). All payments shall be made via bank transfer (bonifico bancario) to the account specified by the Carpenter.
- Quality Standards: All carpenter work shall conform to the Italian national standards (UNI EN) for woodwork and timber construction. The Carpenter warrants that all materials used shall be of the highest grade and free from defects for a period of five (5) years from the date of final acceptance.
- Heritage Compliance: The Carpenter acknowledges that the property in Rome, Italy, is subject to heritage protection. All carpenter interventions must be approved in writing by the Soprintendenza before execution. The Carpenter shall bear all costs associated with obtaining such approvals.
- Insurance and Liability: The Carpenter shall maintain comprehensive public liability insurance with a minimum coverage of EUR 2,000,000 and workers' compensation insurance in accordance with Italian labour law (D.Lgs. 81/2008) for the full duration of the Purchase Order.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all carpenter work satisfactorily completed up to the date of termination.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Rome, Italy, or supply chain disruptions affecting timber materials.
- Confidentiality: The Carpenter shall treat all architectural drawings, site plans, and proprietary information provided by the Buyer as strictly confidential and shall not disclose them to any third party without prior written consent.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the Carpenter services to be performed in Italy Rome. This document constitutes a binding agreement between the Buyer and the Carpenter effective from the date of the last signature.
