- Compliance with Japan Osaka Regulations: The Carpenter and all subcontracted labor must hold valid licenses recognized by the Osaka City Construction Industry Association. All carpentry work performed within the Japan Osaka jurisdiction shall adhere to the latest revisions of the Building Standards Act and the Osaka City Fire Prevention Ordinance.
- Payment Schedule: Payment for this Purchase Order shall be made in three installments: 30% upon execution of this Purchase Order, 40% upon completion of structural framing (estimated August 15, 2025), and the remaining 30% upon final inspection and acceptance of all carpentry work by the Japan Osaka project oversight committee.
- Delivery & Site Access: All materials specified in this Purchase Order must be delivered to the project site in Chuo-ku, Japan Osaka, no later than the dates indicated in Section 3. The Carpenter contractor is responsible for unloading, storage, and protection of materials on-site in accordance with Japan Osaka municipal waste and safety regulations.
- Quality Assurance: The Carpenter shall ensure that all joinery, framing, and finishing work meets the JIS (Japanese Industrial Standards) specifications for structural timber. Any defective workmanship identified during the 90-day warranty period following completion shall be rectified at no additional cost to the purchasing party.
- Insurance & Liability: The Carpenter contractor shall maintain comprehensive general liability insurance with a minimum coverage of 100,000,000 JPY, as well as workers' compensation insurance for all personnel on the Japan Osaka site, for the full duration of the contract.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters (including earthquakes, typhoons, or tsunamis common to the Japan Osaka region), government-mandated work stoppages, or other events beyond reasonable control, provided written notice is given within 48 hours of the event.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation under the Japan Commercial Arbitration Association (JCAA) in Osaka, Japan Osaka, before proceeding to litigation in the Osaka District Court.
- Confidentiality: Both parties agree to maintain the confidentiality of all project specifications, architectural drawings, and proprietary carpentry techniques shared in connection with this Purchase Order for a period of five (5) years following project completion.
