  1. Place of Performance: All carpentry work under this Purchase Order shall be executed at the project site located on Boulevard Mohammed V, Casablanca, Morocco, and at the Carpenter's workshop in Quartier Ben M'Sick, Casablanca, as specified in Section 2. The Carpenter shall bear responsibility for transporting all fabricated woodwork from the workshop to the Casablanca site.
  2. Timeline: The Carpenter shall commence work no later than 20 June 2025 and shall complete all deliverables by 30 August 2025. A detailed weekly schedule shall be submitted to the Casablanca project office within five (5) business days of the issue date of this Purchase Order.
  3. Payment Terms: Payment shall be made in three instalments: (a) 30% advance payment (MAD 206,474.40) upon signature of this Purchase Order; (b) 40% progress payment (MAD 275,299.20) upon completion of items 01 through 05, subject to inspection by the Buyer's representative in Casablanca; (c) 30% final payment (MAD 206,474.40) upon final acceptance and handover. All payments shall be made via bank transfer to the Carpenter's account at Bank of Africa, Casablanca branch.
  4. Quality Standards: The Carpenter guarantees that all woodwork shall be crafted from certified, sustainably sourced timber (cedar from the Middle Atlas region, oak and walnut from approved European suppliers) and shall meet the quality standards set forth by the Moroccan Standards and Quality Institute (IMANOR). Any defect discovered within twelve (12) months of completion shall be remedied at the Carpenter's sole expense.
  5. Regulatory Compliance: The Carpenter shall obtain and maintain all necessary permits and authorisations from the Casablanca City Council (Commune de Casablanca) and the relevant regional authorities in the Grand Casablanca-Settat region. All work shall adhere to Moroccan labour law, including the rights and safety of the Carpenter's employees and apprentices.
  6. Insurance: The Carpenter shall maintain comprehensive liability insurance and workers' compensation coverage (CNSS) for the duration of the project. A certificate of insurance shall be provided to the Buyer prior to commencement of work in Casablanca.
  7. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation between the parties. If unresolved within thirty (30) days, the matter shall be referred to the competent commercial court in Casablanca, Morocco, in accordance with Moroccan civil and commercial law.
  8. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Casablanca, or supply-chain disruptions affecting timber imports into Morocco.
  9. Confidentiality: The Carpenter agrees to treat all architectural drawings, design specifications, and client information related to this Casablanca project as strictly confidential and shall not disclose them to any third party without written consent from the Buyer.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the Carpenter services to be performed in Morocco Casablanca. This document constitutes a binding agreement between Atlas Construction & Interiors SARL and Atelier Bois & Artisanat Benjelloun.
