- Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Carpenter (U Kyaw Zeya Master Carpenter Workshop) within five (5) business days of the issue date. The Carpenter must return a signed copy to the Buyer's procurement office in Kyauktada Township, Yangon.
- Materials: All teak wood used in the carpenter work shall be certified Myanmar teak (Tectona grandis) sourced from legally managed forests in accordance with Myanmar's Forestry Law. The Carpenter shall provide timber origin certificates upon request.
- Quality Standards: All carpenter work must meet the specifications outlined in the attached architectural drawings (Annex A) and comply with Myanmar Building Code standards. The Buyer reserves the right to inspect the carpenter's workshop in Hlaing Township at any stage of fabrication.
- Schedule: The Carpenter shall commence fabrication within seven (7) calendar days of receiving the advance payment. All carpenter work must be completed, installed, and inspected at the Insein Township site no later than 30 July 2025. Delays exceeding five (5) business days shall incur a penalty of 0.5% of the total Purchase Order value per day.
- Payment Schedule:
- 30% advance payment (MMK 18,837,000) upon signing of this Purchase Order, payable via bank transfer to the Carpenter's account at CB Bank, Yangon Branch.
- 40% midpoint payment (MMK 25,116,000) upon completion of 50% of fabrication, subject to Buyer's workshop inspection in Hlaing Township.
- 30% final payment (MMK 18,837,000) upon successful completion, installation, and final inspection at the Yangon project site.
- Warranty: The Carpenter provides a twelve (12) month warranty on all carpenter workmanship from the date of final acceptance. Any defects in joinery, finishing, or structural integrity discovered within this period shall be repaired at the Carpenter's own cost.
- Health & Safety: The Carpenter shall ensure all workers comply with Myanmar's Occupational Safety and Health regulations. The Carpenter is responsible for providing appropriate personal protective equipment at the Yangon project site.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be resolved through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the Myanmar Arbitration Law, with proceedings conducted in Yangon, Myanmar.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Union of Myanmar.
