1. This Purchase Order constitutes a binding agreement between Van der Berg Construction & Interiors B.V. (hereinafter "the Buyer") and De Vries Carpentry & Woodwork Services B.V. (hereinafter "the Carpenter / Contractor") for the scope of work described herein, to be executed at the project site in Netherlands Amsterdam.
2. The Carpenter shall commence work no later than 1 July 2025 and shall complete all deliverables by 22 August 2025, subject to weather and site-access conditions. Any delay exceeding five (5) business days shall entitle the Buyer to a penalty of 0.5% of the total Purchase Order value per day of delay, capped at 10%.
3. All materials specified in this Purchase Order must be FSC-certified or PEFC-certified timber sourced in compliance with Dutch and EU environmental regulations. The Carpenter shall provide material certificates upon request.
4. Payment shall be made in three instalments: 30% upon acceptance of this Purchase Order, 40% upon completion of structural and cabinetry work, and 30% upon final inspection and sign-off. All payments shall be transferred via SEPA bank transfer to the account specified by the Carpenter.
5. The Carpenter shall maintain valid liability insurance (min. EUR 2,500,000) and professional indemnity insurance throughout the duration of the project. Certificates of insurance shall be provided prior to commencement of work on site in Netherlands Amsterdam.
6. All work shall comply with the Dutch Building Code (Bouwbesluit 2012), the Amsterdam Municipal Building Regulations (Bouwverordening Amsterdam), and applicable NEN standards. The Carpenter is responsible for obtaining any required municipal permits or notifications from the Gemeente Amsterdam.
7. A warranty period of twenty-four (24) months shall apply to all workmanship and materials supplied under this Purchase Order, commencing from the date of final acceptance.
8. Disputes arising from this Purchase Order shall be resolved in accordance with Dutch law and shall be subject to the exclusive jurisdiction of the competent court in Amsterdam, Netherlands.
9. The Carpenter shall adhere to all site safety protocols, including but not limited to the Dutch Arbo (Occupational Health and Safety) regulations, and shall ensure all personnel working on site in Netherlands Amsterdam are properly trained and equipped.
10. Any amendments to the scope, pricing, or timeline of this Purchase Order must be documented in a written change order signed by both parties before additional work is performed.

All materials and finished components shall be delivered to the project site at Prinsengracht 234, Amsterdam, Netherlands. The Carpenter is responsible for safe transport, offloading, and on-site storage of all timber and joinery items. Site access is available Monday through Friday, 07:00–18:00 CET. The Carpenter shall coordinate with the site manager, Mr. Pieter van der Berg, for daily access and scheduling.
