- This Purchase Order constitutes a binding agreement between the Purchasing Party and the Carpenter service provider for all woodwork and carpentry services to be performed in Jeddah, Saudi Arabia, effective from the date of mutual signature.
- The Carpenter shall provide all necessary tools, equipment, and raw materials (wood, adhesives, finishes, hardware) unless otherwise specified in the line items. All materials must comply with Saudi Standards, Metrology and Quality Organization (SASO) regulations.
- All work shall be executed in strict accordance with the approved architectural drawings, technical specifications, and the building codes enforced by the Municipality of Jeddah, Saudi Arabia.
- The Carpenter is required to maintain a valid commercial license, civil defense certificate, and all necessary permits to operate in the city of Jeddah. Proof of insurance (liability and workers' compensation) must be submitted prior to commencing work.
- Payment shall be made in three milestones: 30% advance upon signing this Purchase Order, 40% upon completion of 60% of the total scope, and 30% upon final inspection and acceptance of all carpentry work in Jeddah. Payments shall be processed via bank transfer to the account specified by the Carpenter.
- The Carpenter shall complete all work by 30 July 2025. Any delay beyond the agreed timeline, not caused by force majeure or buyer-directed changes, shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, capped at 10%.
- A warranty period of 24 months shall apply to all carpentry and woodwork delivered under this Purchase Order. The Carpenter shall rectify any defects, warping, or structural issues arising from workmanship at no additional cost during the warranty period.
- All disputes arising from this Purchase Order shall be governed by the laws of the Kingdom of Saudi Arabia and shall be resolved through the competent courts in Jeddah, Saudi Arabia.
- The Carpenter shall ensure that all workers on site in Jeddah hold valid Iqama (residence permit) and work permits as required by the Saudi Ministry of Human Resources and Social Development.
- This Purchase Order may only be amended in writing, signed by both parties. Verbal modifications shall hold no legal validity.
All carpentry work under this Purchase Order shall be executed at the project sites located in the Al-Shati and Al-Rawdah districts of Jeddah, Saudi Arabia. The Carpenter shall coordinate daily with the buyer's site engineer and submit weekly progress reports. Final delivery and handover of all completed woodwork shall be conducted at the respective project locations in Jeddah, with a joint inspection and sign-off by both parties.
