All carpentry work under this Purchase Order shall be executed at the project site located in the Almadies district, Senegal Dakar. The Carpenter shall commence work on 1 July 2025 and shall complete all deliverables no later than 28 December 2025. A detailed milestone schedule, including weekly progress reports, shall be submitted to the project manager at BatiSahel Construction & Development SARL every Friday. The Carpenter is required to maintain a minimum crew of eight (8) skilled workers on-site during active construction phases. All materials and finished products shall be stored on-site in a designated, weather-protected area within the Dakar project compound.
Payment for the carpenter services outlined in this Purchase Order shall be made in four (4) installments via bank transfer to the account of Atelier Menuiserie Diop & Fils, held at Banque Atlantique Sénégal, Dakar. The payment schedule is as follows: (a) 25% advance payment upon signature of this Purchase Order; (b) 35% upon completion of structural carpentry and flooring (Items 01 and 02); (c) 25% upon completion of doors, windows, and staircases (Items 03 and 04); and (d) 15% upon final inspection, acceptance, and handover of all carpentry work. All payments are subject to the submission of valid invoices and supporting documentation in accordance with Senegalese tax and commercial law. Late payments shall incur interest at the rate of 1.5% per month, as stipulated by the Code de Commerce of Senegal.
- This Purchase Order is governed by and shall be construed in accordance with the laws of the Republic of Senegal, including the Code des Marchés Publics and applicable commercial regulations.
- The Carpenter warrants that all work shall be performed in a professional and workmanlike manner, using materials of the highest quality and in full compliance with the architectural drawings and specifications approved for the Résidence Les Almadies project in Dakar.
- The Carpenter shall maintain full professional liability insurance and workers' compensation coverage for all personnel engaged in the execution of this Purchase Order, as required by Senegalese labor law (Code du Travail de la République du Sénégal).
- All timber and wood products used in the carpentry work shall be sourced from legally harvested, certified forests. The Carpenter shall provide chain-of-custody documentation for all wood materials, in compliance with the forestry regulations of Senegal and the CITES Convention.
- The Carpenter shall comply with all health, safety, and environmental regulations applicable to construction sites in Senegal Dakar, including dust control, waste disposal, and noise management protocols established by the Mairie de Dakar.
- A warranty period of twenty-four (24) months shall apply to all carpentry work delivered under this Purchase Order. Any defects, warping, splitting, or structural failures discovered within this warranty period shall be remedied by the Carpenter at no additional cost to the Purchasing Entity.
- Disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the competent commercial court of Dakar, Senegal.
- This Purchase Order may not be assigned or subcontracted without the prior written consent of BatiSahel Construction & Development SARL. Any approved subcontracting of specialized carpentry tasks must be disclosed in writing at least fourteen (14) days before the commencement of such work.
- All communications, reports, and documentation related to this Purchase Order shall be conducted in French, the official language of Senegal, with English translations provided for the Purchasing Entity's records where necessary.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Carpenter services in Senegal Dakar. This document constitutes a binding agreement between the Purchasing Entity and the Carpenter service provider for the duration of the project.
