- This Purchase Order constitutes a binding agreement between Al-Nile Construction & Interiors Ltd. and the named Carpenter contractor upon signature by both parties. All work shall be executed at the project site in Shambat, Sudan Khartoum, unless otherwise directed in writing by the project manager.
- The Carpenter shall provide a detailed work schedule within five (5) business days of accepting this Purchase Order, outlining the sequence of fabrication, delivery, and installation phases. Any deviation from the approved schedule must be communicated in writing at least 48 hours in advance.
- All timber and wood products supplied under this Purchase Order must be sourced from licensed suppliers operating within Sudan Khartoum or its immediate hinterland, and must carry valid phytosanitary certificates where applicable. The use of illegally harvested timber is strictly prohibited and will result in immediate termination of this Purchase Order.
- Payment shall be disbursed as follows: 30% advance payment upon execution of this Purchase Order; 40% upon completion and inspection of all off-site fabrication (items 01–05); and the remaining 30% upon final sign-off after on-site installation, finishing, and a 7-day defect-liability period.
- The Carpenter is responsible for all safety measures at the Sudan Khartoum project site, including but not limited to personal protective equipment, dust extraction, and fire prevention. The contractor shall maintain valid workers' compensation insurance for all personnel engaged under this Purchase Order.
- Any variation or change order to the scope defined in this Purchase Order must be agreed upon in writing by both parties before additional work commences. Verbal instructions shall not be binding.
- Disputes arising from this Purchase Order shall be resolved through amicable negotiation. Should negotiation fail, the matter shall be referred to the Commercial Arbitration Centre in Sudan Khartoum in accordance with the Sudanese Arbitration Act.
- This Purchase Order is governed by the laws of the Republic of the Sudan. All communications regarding this document shall be directed to the procurement office of Al-Nile Construction & Interiors Ltd. in Sudan Khartoum.
