All Carpenter work under this Purchase Order shall commence on 1 July 2025 and be completed no later than 29 August 2025. The Carpenter is required to present on-site at the Switzerland Zurich project address no later than 07:30 each working day (Monday through Friday). Any delays attributable to the Carpenter beyond the agreed completion date shall incur a penalty of 0.5% of the total Purchase Order value per calendar day, capped at 10% of the total contract sum. The Carpenter must coordinate with the Switzerland Zurich municipal building authority for any structural modifications requiring prior approval.
5. Terms and Conditions5.1 This Purchase Order constitutes a binding agreement between Alpine Construction & Interiors AG (hereinafter "Buyer") and Meister Holzbau Keller & Söhne GmbH (hereinafter "Carpenter / Supplier") for the provision of carpentry and joinery services in Switzerland Zurich.
5.2 The Carpenter warrants that all work shall be performed in a workmanlike manner by qualified personnel holding valid Swiss professional certifications. The Carpenter shall maintain full professional liability insurance (Berufshaftpflicht) with a minimum coverage of CHF 5,000,000 throughout the duration of this Purchase Order.
5.3 Payment shall be made in three installments: 30% upon signing of this Purchase Order, 40% upon completion of structural timber work (Item 03), and 30% upon final acceptance and handover. All payments shall be transferred via Swiss bank transfer to the account designated by the Carpenter.
5.4 The Carpenter shall comply with all applicable Swiss labor laws, occupational safety regulations (SVG/UVG), and the specific building codes enforced in Switzerland Zurich. The Carpenter is responsible for obtaining any additional permits required by the Switzerland Zurich city planning office.
5.5 All timber materials must be stored on-site in a covered, dry area to prevent warping or moisture damage. The Carpenter shall provide material data sheets and FSC certification documents for all wood species used under this Purchase Order.
5.6 Disputes arising from this Purchase Order shall be resolved through arbitration in Switzerland Zurich under the rules of the Swiss Arbitration Centre (SCC). The governing law is the Swiss Code of Obligations (OR).
5.7 The Carpenter grants a warranty of 24 months on all workmanship and materials supplied under this Purchase Order, commencing from the date of final acceptance by the Buyer's site supervisor.
6. Acceptance and AuthorizationBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Carpenter in Switzerland Zurich.
