The Carpenter shall provide all skilled labor, tools, and consumables as specified below.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and the specific regulations of Abu Dhabi Municipality and the Department of Economic Development, Abu Dhabi.
2. Commencement and Duration: The Carpenter shall mobilize to the project site in United Arab Emirates Abu Dhabi no later than 21 June 2025. The total execution period shall not exceed sixty (60) calendar days from the date of commencement, subject to weather and site-access conditions.
3. Quality Standards: All carpentry work shall comply with the Abu Dhabi Housing Authority (ADHA) building codes, UAE Fire and Life Safety Code, and the project-specific technical specifications. The Carpenter warrants that all timber and wood products shall be free from defects, termites, and structural imperfections for a period of twenty-four (24) months from the date of practical completion.
4. Payment Schedule: Payment shall be made in three milestones: (a) 30% advance upon signing of this Purchase Order; (b) 50% upon completion of all structural carpentry (items 01, 03, 04); (c) 20% upon final handover and sign-off by the Project Manager. All invoices shall be submitted in AED and paid via bank transfer to the Carpenter's designated UAE bank account within thirty (30) days of invoice approval.
5. Insurance and Liability: The Carpenter shall maintain comprehensive public liability insurance of not less than AED 2,000,000 and workers' compensation insurance covering all Carpenter team members as mandated by the UAE Labour Law (Federal Decree-Law No. 33 of 2021). The Carpenter shall be solely liable for any injury, damage, or loss occurring to personnel or property during the execution of this Purchase Order.
6. Site Compliance: The Carpenter shall adhere to all Abu Dhabi site safety regulations, including but not limited to PPE requirements, hot-work permits, waste disposal protocols, and noise-control restrictions. The Carpenter's workforce must hold valid UAE work permits and Emirates IDs. The Carpenter shall not sublet or subcontract any portion of this Purchase Order without prior written consent from Al Noor Construction & Interiors LLC.
7. Warranty and Defects: The Carpenter provides a minimum twelve (12) month warranty on all carpentry workmanship and a twenty-four (24) month warranty on all supplied materials. Any defects identified within the warranty period shall be rectified by the Carpenter at no additional cost within fourteen (14) days of written notice.
8. Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice in the event of material breach. Upon termination, the Carpenter shall be compensated for work satisfactorily completed up to the termination date, less any damages incurred by the ordering party.
9. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to amicable negotiation. Failing resolution within thirty (30) days, the matter shall be referred to the Abu Dhabi Centre for Amicable Settlement of Disputes (ADCS) in accordance with its rules of procedure.
10. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government-mandated shutdowns in the United Arab Emirates, natural disasters, or pandemics, provided that the affected party notifies the other in writing within five (5) business days.
