All work performed under this Purchase Order must comply with the building codes and regulations enforced by the Dubai Municipality and the Dubai Civil Defence Authority within the United Arab Emirates Dubai jurisdiction.

1. This Purchase Order is governed by the laws of the United Arab Emirates and the specific commercial regulations applicable in Dubai. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Dubai Courts.
2. The Carpenter and all sub-contractors engaged under this Purchase Order must hold valid UAE work permits, Emirates IDs, and appropriate trade licenses issued by the Dubai Department of Economic Development. The Buyer reserves the right to verify all documentation prior to commencement of work.
3. Payment shall be made in United Arab Emirates Dirhams (AED) via bank transfer to the account designated by the Carpenter within thirty (30) calendar days from the date of a valid tax invoice, subject to satisfactory completion and sign-off of each milestone as outlined in the project schedule.
4. All materials supplied by the Carpenter must be of premium grade, free from defects, and compliant with the environmental and safety standards set by the Dubai Municipality. Treated wood products must carry the appropriate FSC or equivalent certification.
5. The Carpenter shall provide a minimum twelve (12) month warranty on all workmanship and fabrication under this Purchase Order. Any defects discovered within the warranty period shall be rectified at no additional cost to the Buyer.
6. Delivery and installation shall take place at the project site: Villa 47, The Palm, Palm Jumeirah, Dubai, United Arab Emirates. The Carpenter is responsible for all logistics, material handling, and site cleanup in accordance with Dubai Municipality waste management regulations.
7. Time is of the essence. The Carpenter shall complete all work under this Purchase Order no later than 30 August 2025. A penalty of 0.5% of the total Purchase Order value per day of delay shall apply, capped at 10% of the total value.
8. This Purchase Order may be amended only by mutual written agreement signed by both parties. No verbal modifications shall be binding.
9. The Carpenter shall maintain comprehensive public liability insurance of not less than AED 5,000,000 for the duration of the project, with the Buyer named as an additional insured party.
