- This Purchase Order constitutes a binding agreement between Meridian Construction & Development Ltd. (the "Purchaser") and Ashworth & Sons Carpentry Ltd. (the "Carpenter") for the execution of all carpentry and joinery works as detailed above at the project site in United Kingdom Birmingham.
- The Carpenter shall commence works no later than 16 June 2025 and shall complete all items listed in this Purchase Order by 28 June 2025, subject to reasonable weather delays and access constraints at the United Kingdom Birmingham site.
- All materials supplied by the Carpenter shall be of new, first-quality condition and shall comply with all applicable British Standards (BS) and Building Regulations as enforced by Birmingham City Council.
- The Carpenter shall maintain a valid Risk Assessment and Method Statement (RAMS) on site at all times and shall ensure all operatives are trained, competent, and in possession of current CSCS cards as required for work in the United Kingdom Birmingham construction sector.
- Payment shall be made by BACS transfer within thirty (30) calendar days of receipt of a valid tax invoice from the Carpenter, referencing this Purchase Order number PO-2025-BHM-0472.
- A retention sum of 5% (five percent) shall be withheld from each interim payment and released in full upon practical completion and sign-off by the Purchaser's site manager at the United Kingdom Birmingham location.
- The Carpenter shall provide a twelve-month (12-month) defect liability period from the date of practical completion, during which any defects in workmanship or materials shall be rectified at the Carpenter's own cost.
- All works shall be carried out in accordance with the Health and Safety at Work etc. Act 1974 and the Construction (Design and Management) Regulations 2015, as applicable to sites within the United Kingdom Birmingham area.
- Any variation to the scope of works described in this Purchase Order must be agreed in writing by both parties prior to execution. No additional charges shall be accepted without a formal variation order issued by the Purchaser.
- This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the courts in United Kingdom Birmingham.
All materials and equipment required by the Carpenter shall be delivered to the project site at 45 Edgbaston Crescent, Birmingham B15 2QT, United Kingdom Birmingham. The Carpenter is responsible for all transport, loading, and offloading of materials. Site access is available Monday to Friday between 07:00 and 18:00. The Carpenter must report to the site office upon arrival each working day and shall comply with all site-specific induction requirements set by the Purchaser for the United Kingdom Birmingham development.
