The Carpenter shall obtain and maintain all required permits, inspections, and certifications specific to the United States Houston jurisdiction throughout the duration of this engagement.

1. Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Carpenter. The Carpenter must sign and return a copy of this Purchase Order within five (5) business days of receipt. Failure to return the signed Purchase Order within this period shall constitute a declination of the offer.
2. Performance Schedule: The Carpenter shall commence work on or before June 23, 2025, and shall complete all work no later than August 15, 2025. The Carpenter shall provide a detailed work schedule within three (3) business days of Purchase Order acceptance. Delays attributable to the Carpenter shall result in a liquidated damages charge of $500 per calendar day beyond the completion date.
3. Payment Schedule: Payment shall be made in accordance with the following milestones: 25% upon Purchase Order acceptance and mobilization; 40% upon completion of structural carpentry and millwork fabrication; 25% upon installation of flooring and cabinetry; 10% upon final inspection and punch-list completion. All invoices shall reference this Purchase Order number (BCG-2025-04782).
4. Quality Standards: All carpentry work shall be performed to the standard of a skilled Master Carpenter in the United States Houston trade community. All woodwork shall be free of defects, properly aligned, and finished to a commercial-grade standard. The Carpenter shall conduct a self-inspection prior to requesting the general contractor's inspection.
5. Insurance and Indemnification: The Carpenter shall maintain, at his own expense, general liability insurance of not less than $2,000,000 per occurrence, workers' compensation insurance as required by Texas law, and a surety bond of $500,000. The Carpenter shall indemnify and hold harmless Bayou City Construction Group, LLC, its officers, agents, and employees from any claims, damages, or liabilities arising from the Carpenter's performance under this Purchase Order.
6. Compliance with Local Regulations: The Carpenter shall comply with all building codes, zoning ordinances, and permit requirements of the City of Houston, Harris County, and the State of Texas. The Carpenter shall schedule and pass all required inspections with the Houston Building Code Administration. The Carpenter shall bear the cost of any re-inspections necessitated by work deficiencies.
7. Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination for convenience, the Carpenter shall be compensated for all work satisfactorily completed and materials procured up to the date of termination. In the event of termination for cause, the Carpenter shall be compensated only for work completed and accepted prior to the notice of termination.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas, United States. Any disputes arising under this Purchase Order shall be resolved through binding arbitration in Houston, Texas, in accordance with the rules of the American Arbitration Association.
9. Subcontracting: The Carpenter shall not subcontract any portion of the work described in this Purchase Order without the prior written consent of Bayou City Construction Group, LLC. Any approved subcontractor shall be bound by the same terms and conditions as the Carpenter.
10. Warranty: The Carpenter warrants all workmanship for a period of two (2) years from the date of final acceptance. During this warranty period, the Carpenter shall repair or replace any defective work at no additional cost to the purchasing party.
