5.1 This Purchase Order constitutes a binding agreement between the Buyer and the Carpenter contractor upon signature by both parties. All work shall be performed in and around the United States Miami area, specifically within Miami-Dade County, Florida.
5.2 The Carpenter contractor shall maintain a valid Florida Class A General Contractor license and shall carry minimum liability insurance of $2,000,000 per occurrence and workers' compensation coverage for all crew members as required by the State of Florida.
5.3 Payment shall be made in three installments: 30% upon execution of this Purchase Order, 40% upon completion of structural and cabinetry work, and 30% upon final inspection and sign-off. All payments shall be processed in United States Dollars via ACH transfer to the account designated by the Carpenter contractor.
5.4 The Carpenter team shall adhere to all OSHA safety regulations, Miami-Dade County building codes, and hurricane-resistance standards applicable to the United States Miami coastal zone. All wood materials used for exterior applications must be rated for high-humidity and salt-air environments typical of the United States Miami climate.
5.5 A warranty of 24 months shall apply to all Carpenter workmanship. Material warranties shall be governed by the respective manufacturers' terms. Any defects discovered within the warranty period shall be remedied by the Carpenter contractor at no additional cost to the Buyer.
5.6 The Carpenter contractor shall provide a detailed daily progress report to the Buyer's Project Director. Any changes in scope, schedule, or cost must be documented in a written Change Order signed by both parties before additional work commences.
5.7 This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes arising hereunder shall be resolved through binding arbitration in Miami, Florida, in accordance with the rules of the American Arbitration Association.
5.8 The Carpenter contractor shall not subcontract any portion of the work without prior written consent from the Buyer. All personnel assigned to this project must be legally authorized to work in the United States.
