1. Scope of Work: This Purchase Order authorizes the Carpenter contractor, Brooklyn Fine Carpentry & Woodworks Inc., to perform all carpentry, woodworking, and structural woodwork services as described in the line items above at the project site located at 142 East 72nd Street, New York, New York 10021, United States New York City. All work shall comply with the New York City Building Code, the New York State Uniform Fire Prevention and Building Code, and all applicable local ordinances governing construction and renovation activities within the five boroughs of United States New York City.
2. Payment Terms: Payment shall be made in accordance with the following schedule: 25% upon execution of this Purchase Order, 40% upon completion of structural and framing work (milestone verified by the supervising Carpenter), 25% upon completion of all finish carpentry and installation, and the remaining 10% upon final inspection sign-off and delivery of all as-built documentation. All payments shall be made via wire transfer to the account designated by the Carpenter contractor. Invoices are due within thirty (30) days of receipt. Late payments shall accrue interest at a rate of 1.5% per month as permitted under New York State law.
3. Delivery and Schedule: The Carpenter contractor shall commence work on or before July 1, 2025, and shall complete all services no later than October 15, 2025. All materials and equipment shall be delivered to the project site in United States New York City no more than forty-eight (48) hours prior to their scheduled use. The Carpenter contractor is responsible for all material handling, staging, and waste removal in compliance with NYC Department of Sanitation regulations.
4. Insurance and Liability: The Carpenter contractor shall maintain, at its own expense, a minimum of $2,000,000 in general liability insurance, $1,000,000 in workers' compensation coverage, and $1,000,000 in automobile liability insurance for the duration of the project. Certificates of insurance naming Manhattan Heritage Restoration LLC as an additional insured shall be provided prior to commencement of work. All work performed under this Purchase Order shall be conducted in strict accordance with OSHA safety standards and New York City Department of Buildings requirements.
5. Warranties: The Carpenter contractor warrants that all work performed under this Purchase Order shall be free from defects in materials and workmanship for a period of five (5) years from the date of final acceptance. This warranty covers all carpentry work, including but not limited to flooring, cabinetry, molding, doors, structural repairs, and staircase renovation. Any defects discovered within the warranty period shall be repaired by the Carpenter contractor at no additional cost to the Buyer within fifteen (15) business days of written notice.
6. Permits and Inspections: The Carpenter contractor shall be responsible for obtaining all necessary permits from the New York City Department of Buildings and any other relevant municipal authorities prior to commencing work. All inspections required by United States New York City code shall be scheduled and passed at the contractor's expense. The Buyer shall provide reasonable access to the site for all required inspections.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Buyer shall compensate the Carpenter contractor for all work completed and materials procured up to the date of termination. In the event of termination for cause, the terminating party shall provide a detailed written statement of the grounds for termination.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York and the local ordinances of United States New York City. Any disputes arising under this Purchase Order shall be resolved through binding arbitration in New York, New York, in accordance with the rules of the American Arbitration Association.
9. Change Orders: Any modifications to the scope of work, schedule, or pricing under this Purchase Order must be documented in a written Change Order signed by both parties. No additional work shall be performed by the Carpenter contractor without prior written authorization from the Buyer's project manager.
