- Acceptance: This Purchase Order becomes binding upon written acceptance by the Carpenter (Master Rustam Yusupov) within five (5) business days of the date of issue. Failure to respond within this period shall be construed as rejection of this Purchase Order.
- Delivery and Performance Period: All Carpenter work items shall be completed and delivered to the project site in Tashkent, Uzbekistan, no later than 30 September 2025. The Carpenter shall submit a detailed work schedule within three (3) days of accepting this Purchase Order.
- Payment Terms: Payment shall be made in three installments: 30% upon signing and acceptance of this Purchase Order, 40% upon completion of items 01 through 04, and the remaining 30% upon final inspection and sign-off by the buyer's project director in Uzbekistan Tashkent. All payments shall be made in Uzbekistan Som (UZS) via bank transfer to the account specified in Section 2.
- Quality Standards: The Carpenter guarantees that all woodwork shall meet the quality standards set forth in the Uzbek national standard O'z DSt 25772-83 (Woodworking Products) and the Tashkent City Construction Committee guidelines. Any defective work shall be rectified at the Carpenter's own cost within seven (7) days of notification.
- Materials: Unless otherwise stated, the Carpenter shall source all timber, adhesives, finishes, and hardware from approved suppliers within Uzbekistan. Imported materials require prior written approval from the buyer.
- Insurance and Liability: The Carpenter shall maintain comprehensive liability insurance covering all personnel and equipment on the Tashkent, Uzbekistan site for the duration of the contract. The Carpenter assumes full responsibility for any damage to the buyer's property or third-party property caused by the Carpenter's team.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be resolved through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be submitted to the Arbitration Court of Tashkent, Uzbekistan, in accordance with the laws of the Republic of Uzbekistan.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Tashkent, or supply chain disruptions affecting the Carpenter's ability to source materials in Uzbekistan.
- Confidentiality: Both parties agree to keep the terms of this Purchase Order and all project specifications confidential. The Carpenter shall not disclose design drawings or proprietary information to any third party without written consent.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Republic of Uzbekistan and the applicable commercial regulations of the City of Tashkent.
