- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Bolivarian Republic of Venezuela, specifically the Venezuelan Commercial Code and applicable municipal regulations of Caracas. Any disputes arising from this Purchase Order shall be resolved through arbitration in Caracas, Venezuela, before the Centro de Arbitraje y Mediación de la Cámara de Comercio de Caracas.
- Carpenter Qualifications: The carpenter contractor, Taller de Carpintería Maestra Rodríguez, C.A., warrants that all lead carpenters assigned to this project in Caracas hold valid professional certifications issued by the Venezuelan Ministry of Labor and possess a minimum of ten (10) years of experience in residential and commercial woodworking. All workshop personnel shall comply with Venezuelan occupational health and safety standards (Norma COVENIN).
- Materials Sourcing: All hardwood species used in this Purchase Order shall be sourced from legally managed Venezuelan forests or certified international suppliers. - Delays and Penalties: In the event that the carpenter contractor fails to meet the delivery deadline of August 29, 2025, a penalty of 0.5% of the total Purchase Order value per calendar day of delay shall be applied, up to a maximum of 10%. Delays caused by force majeure events, including but not limited to national strikes, power outages common in the Caracas region, or government-mandated work stoppages, shall be excluded from penalty calculations.

The carpenter contractor shall not reproduce or sell these designs to third parties.
