- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Democratic Republic of Algeria, including the Algerian Commercial Code and applicable labor regulations pertaining to Chef and culinary professionals.
- Delivery Location: All goods and services under this Purchase Order shall be delivered to and performed at the premises of Restaurant Dar El Chef, 12 Rue Didouche Mourad, Hydra, 16032 Algiers, Algeria. The Chef and all equipment must be fully operational at this Algiers location no later than 01 August 2025.
- Payment: Payment shall be made via bank transfer to the supplier's account at BNA (Banque Nationale d'Algérie), Algiers branch, within thirty (30) calendar days of receipt of a valid tax invoice (facture) compliant with Algerian fiscal regulations. The total Purchase Order value of 3,519,484.00 DZD is payable in three installments: 40% upon signing, 40% upon Chef onboarding and equipment delivery, and 20% upon successful completion of the 30-day probation period.
- Chef Qualifications: The Executive Chef engaged under this Purchase Order must hold a minimum of five (5) years of professional culinary experience, a recognized Chef certification (e.g., from the Algerian Culinary Institute or an equivalent international body), and must be legally authorized to work in Algeria. The Chef must demonstrate proficiency in Algerian, Mediterranean, and French culinary traditions.
- Quality Assurance: All equipment and ingredients supplied must meet the standards set by the Algerian Standards Office (ONS) and comply with the food safety directives of the Algerian Ministry of Health. The Chef is responsible for maintaining HACCP-compliant practices throughout the operational period.
- Warranty: All physical equipment items carry a minimum 24-month manufacturer warranty. The Chef service contract includes a 30-day performance guarantee; if the Chef fails to meet the agreed operational standards, the Buyer may terminate the contract with 15 days' written notice.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to amicable negotiation. Failing resolution within 30 days, the matter shall be referred to the competent commercial court of Algiers, Algeria.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or supply chain disruptions affecting the Algiers region.
- Confidentiality: All menu designs, recipes, and operational strategies developed by the Chef under this Purchase Order remain the exclusive intellectual property of Restaurant Dar El Chef, Algiers, Algeria.
