All payments under this Purchase Order shall be made via direct bank transfer to the Chef's nominated Australian bank account. Invoices are to be submitted by the 5th of each month for services rendered in the preceding month. Payment terms are Net 14 days from receipt of a valid tax invoice. Late payments shall attract interest at the rate prescribed under the Interest on Late Payments of Small Business Debts Act 2016 (Cth). All amounts are quoted in Australian Dollars (AUD) and are subject to 10% Goods and Services Tax (GST) as applicable under Australian tax law.
- This Purchase Order constitutes a binding agreement between Harbourview Hospitality Group Pty Ltd and the Chef upon signature by both parties. All terms are governed by the laws of the State of New South Wales, Australia Sydney.
- The Chef warrants that they hold a valid NSW Food Handler's Permit and all necessary certifications required to operate as a professional Chef in a commercial kitchen in Australia Sydney. The Chef shall maintain these credentials throughout the contract term.
- The Chef shall comply with all applicable Australian workplace health and safety legislation, including the Work Health and Safety Act 2011 (NSW), and all Australia Sydney municipal by-laws pertaining to food preparation and commercial kitchen operations.
- The Chef shall adhere to the ethical sourcing policy of Harbourview Hospitality Group, prioritising locally sourced ingredients from Australia Sydney and the broader NSW region wherever practicable.
- Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Chef shall be compensated for all services rendered up to the effective date of termination.
- The Chef shall maintain professional indemnity and public liability insurance with a minimum cover of AUD $10,000,000, naming Harbourview Hospitality Group as an additional insured party.
- All intellectual property, including menu designs, recipes, and culinary techniques developed under this Purchase Order, shall remain the property of Harbourview Hospitality Group Pty Ltd.
- The Chef shall not engage in any competing culinary business within a 5-kilometre radius of the Australia Sydney premises during the term of this Purchase Order and for 12 months following its expiry.
- Disputes arising from this Purchase Order shall be resolved through mediation in Australia Sydney in accordance with the Civil and Administrative Tribunal Act 2013 (NSW) before any litigation is commenced.
