- Scope of Chef Engagement: The Chef and culinary team shall perform all duties at the restaurant premises located in Copacabana, Rio de Janeiro, Brazil. The Chef shall be available for a minimum of 48 hours per week, including weekend and holiday service as required by the restaurant's operating schedule in Rio de Janeiro.
- Compliance with Brazilian Law: All services rendered under this Purchase Order shall comply with the Brazilian Labor Code (Consolidação das Leis do Trabalho – CLT), the ANVISA food safety regulations, and all municipal ordinances applicable to food service establishments in Rio de Janeiro, RJ.
- Intellectual Property: All menus, recipes, and culinary concepts developed by the Chef specifically for Restaurante Maré Alta S.A. during the term of this Purchase Order shall be the exclusive property of the Buyer. The Chef retains the right to use pre-existing techniques and general culinary knowledge.
- Performance Standards: The Chef shall maintain a minimum customer satisfaction rating of 90% as measured by quarterly surveys. Failure to meet this standard for two consecutive quarters shall constitute grounds for early termination of this Purchase Order with 30 days' written notice.
- Payment Schedule: Invoices shall be submitted on the last business day of each month. Payment shall be made via bank transfer (TED/PIX) to the account specified above within 30 calendar days of invoice receipt. Late payments shall accrue interest at the rate of 1% per month plus SELIC, in accordance with Brazilian commercial law.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of material breach, the non-breaching party may terminate with 15 days' notice. Upon termination, all outstanding invoices for services rendered shall be settled within 30 days.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding proprietary recipes, supplier relationships, financial data, and operational strategies. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by the laws of the Federative Republic of Brazil. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Rio de Janeiro, RJ, Brazil.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the city of Rio de Janeiro.
- Validity: This Purchase Order is valid for acceptance within ten (10) business days from the date of issue. If not accepted within this period, the Buyer reserves the right to issue a revised Purchase Order or seek alternative Chef services in Rio de Janeiro.
