1. Delivery: All items under this Purchase Order must be delivered to the buyer's premises at Rua Oscar Freire, 892, Jardins, São Paulo — SP, Brazil, no later than 30 July 2025. Delivery shall be made during business hours (08:00–18:00 BRT) and must be coordinated with the on-site project manager.
2. Payment Terms: Payment shall be made via bank transfer (TED/PIX) to the Chef Corporate Solutions account in BRL. 40% due upon signing of this Purchase Order, 40% upon delivery and acceptance at the São Paulo site, and 20% upon completion of the installation and training service. Net 30 days from invoice date for each milestone.
3. Warranty: Chef Corporate Solutions guarantees all equipment for a minimum of 24 months from the date of installation in São Paulo. The annual maintenance contract (Item 008) extends comprehensive coverage for the first 12 months.
4. Compliance: All products must meet Brazilian regulatory requirements, including ANVISA food safety standards, INMETRO certification for electrical equipment, and São Paulo municipal environmental and fire safety codes. Chef shall provide all necessary documentation and certificates prior to delivery.
5. Cancellation & Modification: This Purchase Order may be modified or cancelled by mutual written agreement. Cancellation after the 40% initial payment shall incur a 10% restocking fee as per Brazilian commercial law (Código Civil, Art. 475).
6. Governing Law: This Purchase Order shall be governed by the laws of the Federative Republic of Brazil, with jurisdiction of the courts of São Paulo — SP, Brazil.
7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates in São Paulo, or supply chain disruptions affecting the Chef product line.
