1. This Purchase Order is issued by Restaurant Le Chef Montéralais Inc., a corporation registered in the Province of Quebec, Canada, for the procurement of professional chef equipment and culinary supplies. All items listed herein are intended for use in our commercial kitchen facility located in Montreal, Quebec.
2. The supplier, ChefPro Equipment & Culinary Solutions Ltd., acknowledges receipt of this Purchase Order and agrees to fulfill all line items in accordance with the specifications, quantities, and delivery timelines stated above. All chef-related products must meet or exceed the standards set by the Canadian Food Inspection Agency (CFIA) and the Quebec Ministry of Health.
3. Delivery shall be made to the receiving address in Montreal, Canada, no later than July 15, 2025. The supplier is responsible for all shipping, handling, and insurance costs associated with the transport of chef equipment to our Montreal facility. Goods will be inspected upon arrival, and any damaged or non-conforming items must be reported within five (5) business days.
4. Payment shall be made in Canadian Dollars (CAD) within thirty (30) days of the invoice date, via electronic funds transfer (EFT) to the supplier's designated bank account in Montreal, Quebec. Late payments shall incur a penalty of 1.5% per month as per Quebec commercial law.
5. All chef knives, tools, and food-contact equipment must comply with Canadian regulations, including but not limited to Health Canada guidelines and the Quebec Act Respecting Food Safety. Products must bear appropriate bilingual (English/French) labeling as required by the Consumer Packaging and Labeling Act of Canada.
6. The supplier warrants that all chef equipment supplied under this Purchase Order is new, free from defects in material and workmanship, and carries a minimum manufacturer's warranty of two (2) years. Warranty claims will be processed through the supplier's Montreal service center.
7. This Purchase Order is governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes arising from this Purchase Order shall be resolved through arbitration in Montreal, Quebec, in accordance with the Quebec Civil Code.
8. The supplier shall maintain adequate liability insurance coverage of no less than $2,000,000 CAD for the duration of this Purchase Order and any related delivery operations within the Montreal metropolitan area.
9. Neither party may assign this Purchase Order without the prior written consent of the other party. This document constitutes the entire agreement between the parties regarding the purchase of chef equipment described herein and supersedes all prior negotiations, representations, or agreements.
