- Scope of Work: The Chef engaged under this Purchase Order shall perform all duties as outlined in the attached Statement of Work (SOW-2025-00487). The Chef’s primary work location shall be the buyer’s restaurant premises in Canada Vancouver. The Chef is expected to maintain the highest standards of culinary excellence, food safety, and professional conduct at all times.
- Duration: This Purchase Order covers an initial engagement period of three (3) months commencing July 1, 2025, and concluding September 30, 2025. Renewal of the Chef’s engagement shall be subject to mutual written agreement and the issuance of a subsequent Purchase Order.
- Payment Schedule: Payment for this Purchase Order shall be made in three equal monthly installments of $24,061.33 CAD, due on the 15th of each month (July 15, August 15, and September 15, 2025). All payments shall be made via electronic funds transfer (EFT) to the supplier’s designated bank account in Canada Vancouver.
- Compliance: The Chef shall comply with all federal, provincial, and municipal regulations applicable to food service in Canada Vancouver, including but not limited to the British Columbia Food Safety Act, the Canada Food and Drugs Act, and the City of Vancouver Health Department bylaws. The Chef must hold a valid Food Handler’s Certificate and a current First Aid and CPR certification.
- Confidentiality: The Chef shall treat all proprietary recipes, menu concepts, supplier relationships, and business information of Pacific Rim Hospitality Group Inc. as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days’ written notice. In the event of termination, the buyer shall be liable for all services rendered and expenses incurred up to the date of termination. The Chef shall return all company property, including the professional equipment package listed in Line Item 2.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Canada Vancouver, British Columbia. If mediation is unsuccessful, disputes shall be submitted to binding arbitration under the rules of the Arbitration Institute of the Chartered Institute of Arbitrators (CIArb), with proceedings conducted in Canada Vancouver.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government orders, or supply chain disruptions affecting the Canada Vancouver region.
