The Chef engaged under this Purchase Order shall be responsible for the following duties within the China Guangzhou operations:
- Designing, developing, and implementing seasonal and signature menus that reflect both international culinary standards and the rich Cantonese gastronomic heritage of Guangzhou.
- Managing and supervising a kitchen team of no fewer than fifteen (15) culinary staff members, including sous chefs, line cooks, and pastry specialists.
- Ensuring full compliance with all food safety regulations, hygiene standards, and health inspection requirements enforced by the Guangzhou Municipal Food and Drug Administration.
- Conducting weekly inventory audits, supplier negotiations, and cost-control analyses to maintain a kitchen operating margin of no less than 68%.
- Representing the Buyer at culinary events, food festivals, and industry conferences held throughout China Guangzhou and the broader Guangdong region.
- Training junior kitchen staff in advanced plating techniques, ingredient sourcing, and the preparation of both traditional and contemporary dishes.
All payments under this Purchase Order shall be made in Chinese Yuan (CNY) via bank transfer to the Seller's designated corporate account in Guangzhou. The payment schedule is as follows:
- 30% advance payment (CNY 266,100.00) due within ten (10) business days of the Buyer's written acceptance of this Purchase Order.
- Monthly service fees for the Chef engagement, accommodation, and performance evaluation to be invoiced on the first business day of each month and payable within fifteen (15) calendar days of invoice receipt.
- Final settlement of all remaining balances, including any pro-rated amounts, to be completed within thirty (30) days of the contract expiration date or early termination date, whichever is applicable.
- This Purchase Order is governed by and shall be construed in accordance with the laws of the People's Republic of China, with specific reference to the commercial and labor regulations applicable in China Guangzhou.
- The Seller warrants that the Chef shall hold a valid work permit, residence permit, and all necessary professional culinary certifications recognized by the Chinese Ministry of Human Resources and Social Security.
- Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, the Buyer shall be liable for all services rendered up to the effective date of termination.
- The Chef shall be subject to a non-compete clause for a period of twelve (12) months following the expiration or termination of this engagement, applicable to all culinary establishments within a fifty-kilometer radius of the Buyer's premises in Guangzhou.
- All disputes arising from or in connection with this Purchase Order shall be resolved through arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou.
- The Seller shall maintain comprehensive professional liability insurance covering the Chef for the full duration of the engagement, with a minimum coverage of CNY 2,000,000.00.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. This document constitutes a binding commercial agreement for the procurement of Chef services in China Guangzhou.
