1. Service Commencement: The Chef shall report to the Alexandria Seafront facility no later than 07:00 AM on 1 August 2025. Failure to commence within five (5) business days of the start date shall entitle the buyer to cancel this Purchase Order without penalty.
2. Payment Schedule: Payment shall be made in monthly installments of EGP 108,200.00, due on the 5th of each month via bank transfer to the Chef's designated account at National Bank of Egypt, Alexandria Branch. The first payment is due on 5 August 2025.
3. Working Hours: The Chef shall work a standard schedule of 48 hours per week, Monday through Saturday, from 07:00 AM to 05:00 PM, with a one-hour unpaid lunch break. Overtime beyond 56 hours per week shall be compensated at 1.5 times the hourly rate.
4. Compliance with Egyptian Law: The Chef shall comply with all applicable labor laws of the Arab Republic of Egypt, including the Egyptian Labor Law No. 12 of 2003, as well as all food safety regulations enforced by the Alexandria Governorate Health Authority and the Egyptian Food Safety Authority (EFSA).
5. Health & Safety: The Chef must maintain a valid annual health certificate issued by an approved medical facility in Alexandria, Egypt, and shall adhere to all HACCP (Hazard Analysis and Critical Control Points) protocols within the kitchen premises.
6. Intellectual Property: All original recipes, menu designs, and culinary concepts developed by the Chef specifically for the buyer's Alexandria establishment during the term of this Purchase Order shall remain the exclusive property of Alexandria Grand Hospitality Group S.A.E.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, all outstanding payments for services rendered up to the termination date shall be settled within fifteen (15) business days.
8. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the rules of the Egyptian Arbitration Center in Alexandria, Egypt. The governing law shall be the laws of the Arab Republic of Egypt.
9. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Alexandria, Egypt, or public health emergencies.
