This Purchase Order is issued by Al-Nile Hospitality Group S.A.E. for the procurement and engagement of a professional Chef to provide full-time culinary services at our flagship restaurant and banquet facility located in the heart of Egypt Cairo. The Chef shall be responsible for menu development, kitchen management, staff supervision, and the preparation of both traditional Egyptian cuisine and international dishes in accordance with the operational standards set forth by the purchasing entity. The engagement is governed by the terms and conditions specified in this Purchase Order and the supplementary service agreement referenced herein.

- Delivery / Commencement: The Chef and supporting culinary staff shall report to the designated kitchen facility in Egypt Cairo no later than 1 July 2025. The onboarding and training period shall commence on the same date.
- Payment Terms: Payment shall be made in three (3) equal installments via bank transfer to the supplier's designated account at the Egyptian National Bank. The first installment (33.33%) is due upon execution of this Purchase Order, the second upon completion of the 6-month period, and the final installment upon successful completion of the 12-month contract term.
- Chef Qualifications: The primary Chef engaged under this Purchase Order must hold a minimum of eight (8) years of professional culinary experience, a recognized diploma from an accredited culinary institute, and valid work authorization for employment in Egypt Cairo. All Chef personnel must present current health certificates issued by an authorized Egyptian medical facility.
- Performance Standards: The Chef shall adhere to the menu specifications, portion guidelines, and quality control protocols established by Al-Nile Hospitality Group. Monthly performance reviews shall be conducted by the Director of Culinary Operations in Cairo.
- Termination Clause: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination due to Chef underperformance, the supplier shall provide a replacement Chef of equivalent or superior caliber within fourteen (14) calendar days at no additional cost to the purchasing entity.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising from this Purchase Order shall be resolved through arbitration in Cairo, Egypt, in accordance with the Egyptian Arbitration Law No. 27 of 1994.
- Confidentiality: All proprietary recipes, menu designs, and operational procedures developed by the Chef during the engagement in Egypt Cairo shall remain the exclusive intellectual property of Al-Nile Hospitality Group S.A.E.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Cairo, or public health emergencies.
