- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic, with jurisdiction vested in the Tribunal de Commerce de Lyon, France Lyon.
- Commencement: The Chef services shall commence on 1 September 2025 at the premises located at 42 Quai de Serbie, 69002 Lyon, France. The Chef is expected to be present and operational from 06:00 CET on the first day of service.
- Performance Standards: The Chef shall maintain all health and safety certifications required by the French Ministry of Agriculture and the local Lyon health authority (Agence Régionale de Santé Auvergne-Rhône-Alpes). All food handling must comply with HACCP regulations as enforced in France Lyon.

- Insurance: The vendor shall maintain professional liability insurance of no less than €2,000,000, valid throughout the France Lyon region, for the full duration of this Purchase Order.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to mediation in Lyon, France. If unresolved within 30 days, the matter shall be referred to the commercial court of Lyon.
