3.1 This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties. All services shall be rendered exclusively at the premises located in Germany Berlin unless otherwise agreed in writing.

3.2 The Chef and all supporting culinary personnel engaged under this Purchase Order must hold valid German work permits, a current health certificate (Arbeitszeugnis / Gesundheitszeugnis) as required by the Berliner Gesundheitsamt, and must comply with all applicable labor laws of the Federal Republic of Germany, including the Arbeitszeitgesetz (Working Hours Act) and the Mindestlohngesetz (Minimum Wage Act).

3.3 The Supplier warrants that the Chef engaged under this Purchase Order possesses a minimum of ten (10) years of professional culinary experience, a recognized culinary qualification (e.g., IHK-geprüfter Koch/Köchin or equivalent), and demonstrable expertise in both classical French and contemporary German cuisine.

3.4 Payment shall be made via bank transfer (SEPA) to the account designated by the Supplier within thirty (30) calendar days of receipt of a valid invoice. Late payments shall incur interest at the statutory rate pursuant to § 288 of the German Civil Code (BGB).

3.5 The Buyer reserves the right to inspect the quality of services rendered by the Chef and the kitchen team at any reasonable time. Any deficiencies must be remedied within five (5) business days of written notice.

3.6 This Purchase Order may be terminated by either party with a written notice period of thirty (30) days. In the event of termination, the Buyer shall be liable for services already rendered up to the effective date of termination.

3.7 All personal data processed in connection with this Purchase Order shall be handled in accordance with the General Data Protection Regulation (GDPR / DSGVO) and the German Federal Data Protection Act (BDSG).

The services described in this Purchase Order shall commence on 1 July 2025 and shall continue on a monthly basis until terminated in accordance with Clause 3.6.
