- This Purchase Order is issued by Spice Route Hospitality Pvt. Ltd. for the procurement of professional Chef services to be deployed at its restaurant premises located in India Bangalore, Karnataka. All services shall be rendered in strict compliance with the Food Safety and Standards Authority of India (FSSAI) regulations applicable to the Bangalore municipal zone.
- The Supplier shall ensure that the Executive Chef and all subordinate Chef personnel possess valid food handler licences, medical fitness certificates, and any other statutory documents required for employment in the food service industry in India Bangalore. Failure to provide such documentation within 7 days of the deployment date shall constitute a material breach of this Purchase Order.
- Payment shall be made via NEFT/RTGS to the Supplier's designated bank account within 30 days of receipt of a valid tax invoice. The Supplier shall issue a GST-compliant invoice for each monthly service delivery. All amounts stated in this Purchase Order are in Indian Rupees (INR) and are inclusive of applicable local taxes unless otherwise specified.
- The Chef engagement period is twelve (12) months commencing from 01 July 2025. Either party may terminate this Purchase Order with a written notice of 60 days. In the event of early termination, a pro-rata refund of unutilised service charges shall be processed within 15 business days.
- The Supplier warrants that the Chef personnel shall not be under any non-compete or restrictive covenant with any other establishment in India Bangalore or elsewhere in India for a period of at least 12 months following the commencement of this engagement.
- All intellectual property, including proprietary recipes, menu designs, and culinary techniques developed by the Chef team during the term of this Purchase Order, shall remain the exclusive property of Spice Route Hospitality Pvt. Ltd. The Chef personnel shall sign a non-disclosure agreement (NDA) prior to commencing duties at the India Bangalore site.
- Disputes arising from or in connection with this Purchase Order shall be governed by the laws of India and shall be subject to the exclusive jurisdiction of the competent courts in Bangalore, Karnataka, India Bangalore. Mediation shall be attempted before any litigation is initiated.
- The Supplier shall maintain adequate professional indemnity and workmen's compensation insurance covering all Chef staff deployed at the India Bangalore location for the entire duration of this Purchase Order. Certificates of insurance shall be provided to the Buyer upon request.
- This Purchase Order does not constitute an employment contract between the Buyer and the Chef personnel. The Chef staff remain employees of the Supplier and are engaged on a contractual service basis. The Buyer reserves the right to reject any Chef candidate who fails to meet the stipulated skill and conduct standards.
- Any amendments, modifications, or addenda to this Purchase Order must be made in writing and signed by authorised representatives of both parties. Verbal agreements or informal communications shall not alter the terms of this document.
