4. TERMS AND CONDITIONS
  1. Scope of Service: The Chef engaged under this Purchase Order shall provide culinary services exclusively at the Buyer's designated premises in Iraq Baghdad. The Chef shall prepare a minimum of three (3) full meals per day for up to 150 personnel, manage a kitchen team of no fewer than six (6) support staff, and ensure all food safety standards compliant with Iraqi Ministry of Health regulations are met.
  2. Qualifications: The Chef must hold a minimum of ten (10) years of professional culinary experience, a recognized international culinary certification (e.g., Le Cordon Bleu, WSET, or equivalent), and demonstrated experience operating in Middle Eastern or Gulf region environments. Prior experience in Iraq Baghdad or similar high-security operational contexts is strongly preferred.
  3. Payment Terms: Payment shall be made in United States Dollars (USD) via wire transfer to the Supplier's designated bank account. The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid invoice from the Supplier. The initial deployment and one-time fees (Line Items 2, 4, and 6) are due upon execution of this Purchase Order. Recurring monthly fees (Line Items 1, 3, 5, and 7) are due on the first business day of each calendar month.
  4. Commencement Date: The Chef shall report to the Buyer's facility in Iraq Baghdad no later than 1 August 2025. The Supplier is responsible for ensuring all travel, visa, and work permit documentation is completed prior to the commencement date.
  5. Contract Duration and Renewal: This Purchase Order covers a period of twelve (12) months from the commencement date. Renewal shall be subject to mutual written agreement between the Buyer and the Supplier at least sixty (60) days prior to the expiration of the current term.
  6. Security and Compliance: The Chef shall comply with all security protocols established by the Buyer for operations in Iraq Baghdad, including but not limited to movement restrictions, communication protocols, and emergency evacuation procedures. The Chef must pass a background check approved by the Buyer's security division prior to deployment.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of unsatisfactory performance by the Chef, the Buyer may request a replacement within fourteen (14) days at no additional cost to the Buyer, as stipulated in Line Item 7.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Republic of Iraq. Any disputes arising from this agreement shall be resolved through arbitration in Baghdad, Iraq Baghdad, in accordance with the rules of the Iraqi Arbitration Center.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to civil unrest, government-imposed travel restrictions, or pandemics affecting operations in Iraq Baghdad.
  10. Confidentiality: All operational details, menu formulations, staffing information, and financial terms contained in this Purchase Order shall be treated as strictly confidential by both parties and shall not be disclosed to any third party without prior written consent.
