- 3.1 This Purchase Order is governed by the laws of the State of Israel. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv, Israel.
- 3.2 The Chef shall commence all duties no later than 1 July 2025 at the premises located in Israel Tel Aviv. Failure to commence within five (5) business days of the agreed start date shall entitle the Purchaser to terminate this Purchase Order without penalty.
- 3.3 Payment terms: Net 30 days from the date of invoice. All payments shall be made in New Israeli Shekels (NIS) via bank transfer to the Chef's designated account in Israel Tel Aviv. The Purchaser reserves the right to withhold payment for any line item not satisfactorily completed.
- 3.4 The Chef agrees to maintain full compliance with all food safety regulations as mandated by the Israel Ministry of Health and the local Tel Aviv-Yafo Municipality. All kitchen operations conducted under this Purchase Order must adhere to Kosher dietary standards where applicable to the restaurant's certification.
- 3.5 The Chef shall not subcontract any portion of the services outlined in this Purchase Order without prior written consent from the Purchaser. Any approved subcontracting must be conducted by qualified professionals operating within Israel Tel Aviv.
- 3.6 Intellectual property: All menus, recipes, and culinary concepts developed by the Chef under this Purchase Order shall become the exclusive property of Shalom Culinary Group Ltd. upon full payment.
- 3.7 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice.
- 3.8 Insurance: The Chef shall maintain professional liability insurance with a minimum coverage of NIS 1,000,000, valid throughout the term of this Purchase Order in Israel Tel Aviv.
- 3.9 Working hours: The Chef's standard working schedule shall be Monday through Saturday, 10:00 to 22:00, in accordance with standard restaurant operations in Israel Tel Aviv. Overtime shall be compensated at 1.5x the hourly rate.
- 3.10 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting Israel Tel Aviv.
