This Purchase Order is issued by Restaurant La Cucina Milanese S.r.l. (hereinafter referred to as the "Purchaser") to Executive Culinary Staffing Agency S.p.A. The Vendor shall identify, vet, and place a senior Chef (minimum 10 years of professional experience in fine-dining or Michelin-starred kitchens) to serve as the Head Chef at the Purchaser's restaurant in Italy Milan. The Chef shall be responsible for the complete culinary direction of the establishment, including menu development, kitchen staff supervision, quality control, food safety compliance in accordance with Italian and European Union regulations, and the maintenance of the restaurant's reputation within the competitive gastronomic landscape of Italy Milan.
The Chef shall be expected to work a minimum of 55 hours per week, including evening and weekend service, in accordance with the collective bargaining agreement (CCNL) applicable to the hospitality sector in the Province of Milan. All labor law obligations, including but not limited to INPS and INAIL contributions, shall be the sole responsibility of the Vendor as the employer of record.

All invoices issued under this Purchase Order shall be payable within 30 days of receipt via bank transfer to the Vendor's designated account in Milan, Italy. Invoices must reference Purchase Order number PO-2025-00487 and shall be submitted in PDF format to the Purchaser's accounts payable department. Late payments shall incur interest at the rate prescribed by Article 634 of the Italian Civil Code. The Purchaser reserves the right to withhold payment for any line item where the corresponding service has not been satisfactorily delivered or where a dispute is pending resolution.
The Chef engaged under this Purchase Order shall maintain a minimum guest satisfaction score of 90% as measured by the Purchaser's quarterly internal audits. The Chef shall ensure that all food preparation, storage, and service practices comply with the HACCP (Hazard Analysis and Critical Control Points) protocol and the hygiene standards enforced by the ASL (Azienda Sanitaria Locale) of Milan. Failure to meet these standards for two consecutive quarters shall constitute a material breach of this Purchase Order, entitling the Purchaser to terminate the engagement with 30 days' written notice and a pro-rata refund of unused fees.

Upon termination of this Purchase Order, the Chef shall observe a non-compete clause for a period of 12 months within a 25-kilometer radius of the Purchaser's Italy Milan establishment. The Vendor shall ensure that the Chef's employment contract incorporates these provisions and shall indemnify the Purchaser for any breach thereof.
This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with this Purchase Order shall be resolved through binding arbitration administered by the Chamber of Commerce of Milan, Italy Milan, in accordance with its rules of arbitration. The language of the arbitration shall be Italian, with English translations provided for all key documents. The parties agree that the courts of Milan, Italy shall have exclusive jurisdiction for any interim or injunctive relief.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This Purchase Order becomes effective upon execution by both authorized representatives and remains in force for the 24-month contract duration unless terminated earlier in accordance with the provisions herein.
