This Purchase Order is issued by Ristorante del Mare S.r.l. to formally engage the services of Chef Marco De Laurentiis for a comprehensive culinary program to be executed at the restaurant's primary location in Italy Naples. The Chef shall be responsible for the full design, development, and execution of the seasonal menu, staff training, and kitchen operations management for the period specified herein. All services rendered under this Purchase Order shall take place exclusively within the premises located in Naples, Italy, and shall comply with all applicable Italian food safety regulations, including those enforced by the ASL Napoli 1 Centro and the local municipal health authority.
The Chef is engaged to deliver the following scope of work as part of this Purchase Order:
- Design and implementation of a 12-week seasonal menu incorporating authentic Neapolitan and broader Italian culinary traditions, with emphasis on locally sourced ingredients from the Campania region.
- Supervision and daily management of the kitchen brigade, including a team of no fewer than six (6) sous chefs, commis, and pastry assistants stationed in Italy Naples.
- Conduct of weekly training sessions for kitchen staff on advanced techniques, plating standards, and food hygiene protocols as mandated by Italian law.

Payment for this Purchase Order shall be made in accordance with the following schedule. All payments shall be processed via bank transfer to the account designated by the Chef (Supplier) and shall be made in Euro (EUR) to a bank account domiciled in Italy.
- 30% advance payment (EUR 37,185.60) due within five (5) business days of the formal acceptance of this Purchase Order by both parties.
- 40% interim payment (EUR 49,580.80) due at the completion of Week 6 of the Chef's engagement in Italy Naples.
- 30% final payment (EUR 37,185.60) due within ten (10) business days of the delivery and acceptance of the final written report.
Any late payment shall incur interest at the rate of 1.5% per month, calculated from the due date until the date of actual payment, in accordance with Italian commercial law (Codice Civile, Articles 1284–1291).
5. DELIVERY, LOCATION, AND LOGISTICSAll services, equipment deliveries, and training sessions under this Purchase Order shall be performed at the following location in Italy Naples:

Access: Ground floor and basement kitchen level. Loading dock available for equipment delivery between 06:00 and 10:00 CET.
The Chef is expected to be present on-site in Naples, Italy, for a minimum of six (6) days per week, Monday through Saturday, from 08:00 to 18:00, with additional hours as required for event preparation and menu development. The Purchaser shall provide the Chef with a dedicated workspace, access to all kitchen facilities, and reasonable accommodation support during the engagement period.
6. TERMS, WARRANTIES, AND COMPLIANCEThe Chef warrants that all services rendered under this Purchase Order shall be performed with the skill, care, and diligence expected of a professional culinary expert of equivalent standing in Italy Naples. The Chef shall comply with all applicable Italian and European Union food safety regulations, including Regulation (EC) No 852/2004 on the hygiene of foodstuffs, and shall maintain all necessary professional certifications and health clearances throughout the duration of this Purchase Order.
The Chef shall indemnify and hold harmless the Purchaser against any claims, losses, or liabilities arising from the Chef's negligence, gross misconduct, or failure to comply with the terms of this Purchase Order. The Purchaser reserves the right to terminate this Purchase Order with immediate effect upon written notice if the Chef fails to meet the agreed performance standards for two (2) consecutive weeks.
All intellectual property, including menu designs, recipes, and training materials developed specifically for the Purchaser under this Purchase Order, shall become the exclusive property of Ristorante del Mare S.r.l. upon full payment. The Chef retains the right to use general culinary techniques and personal professional experience in other engagements, provided that no proprietary recipes or trade secrets of the Purchaser are disclosed.
7. ACCEPTANCE AND AUTHORIZATIONThis Purchase Order becomes binding upon the written or electronic acceptance by both parties. By signing below, each party acknowledges that it has read, understood, and agrees to all terms and conditions set forth in this Purchase Order for the engagement of Chef services in Italy Naples.
