1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier for the provision of Chef and kitchen staff services at the designated location in Italy Rome, effective from 1 July 2025 through 30 June 2026.
2. The Chef (Executive Chef) shall be the sole culinary authority at the Rome, Italy premises and shall report directly to the General Manager of Ristorante Aurelia S.r.l. All menu decisions, hiring recommendations for junior kitchen staff, and food quality standards shall be determined by the Chef in consultation with the Buyer.
3. All Chef and kitchen personnel shall comply with the Italian Labour Code (D.Lgs. 81/2008), local Rome municipal regulations, and all applicable food safety and hygiene standards enforced by the ASL (Azienda Sanitaria Locale) of Rome, Italy.
4. The Supplier guarantees that the Chef and all supporting kitchen staff possess valid Italian work permits, professional culinary certifications (including but not limited to ITP Academy or equivalent), and current health certificates as required for food handlers in Italy Rome.
5. Payment shall be made via bank transfer to the Supplier's designated account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Italian commercial law.
6. The Buyer reserves the right to inspect the Chef's work, kitchen operations, and menu execution at any reasonable time during the contract period at the Italy Rome location. A minimum of 48 hours' written notice shall be provided for scheduled inspections.
7. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Supplier for all services rendered up to the effective date of termination, including any non-recoverable costs incurred by the Chef and kitchen team in Italy Rome.
8. All intellectual property related to menu designs, recipes, and culinary techniques developed by the Chef during the term of this Purchase Order shall remain the property of the Buyer, Ristorante Aurelia S.r.l., for use at the Rome, Italy establishment.
9. Disputes arising from this Purchase Order shall be resolved through mediation in Rome, Italy, and, failing mediation, shall be subject to the exclusive jurisdiction of the Courts of Rome, Italy.
10. This Purchase Order is governed by the laws of the Italian Republic. All communications regarding this document shall be made in writing and delivered to the addresses specified in Sections 1 and 2 above.
