  1. This Purchase Order constitutes a binding agreement between Kaiseki Ryori Sora Restaurant Group and Kyoto Culinary Talent Agency K.K. for the engagement of a qualified Chef to lead culinary operations in Japan Kyoto. All terms herein shall be governed by the laws of the State of Kyoto and the national laws of Japan.
  2. The Chef engaged under this Purchase Order must hold a valid Japanese work visa (specifically, a "Skilled Labor" or "Business Manager" visa) and must pass a health examination approved by the Japan Kyoto Immigration Bureau prior to commencing duties. The vendor is responsible for all visa processing fees and documentation.
  3. Payment shall be made in Japanese Yen (JPY) via bank transfer to the vendor's designated account at MUFG Bank, Kyoto Central Branch, within thirty (30) calendar days of receipt of a valid invoice. Late payments shall incur a penalty of 1.5% per month as stipulated under Japanese commercial law.
  4. The Chef's contract term is twenty-four (24) months commencing on September 1, 2025. Early termination by either party requires a ninety (90) day written notice. In the event of termination for cause, the terminating party shall compensate the other for 50% of the remaining contract value.
  5. All kitchen operations conducted by the Chef must comply with the Japan Food Sanitation Act, Kyoto Prefecture Food Safety Regulations, and the standards set forth by the Japan Kyoto Culinary Standards Board. The Chef shall maintain a valid food handler's license issued by the local Japan Kyoto municipal authority.
  6. The Chef is expected to develop a minimum of four seasonal menus per year (spring, summer, autumn, winter) that reflect the culinary heritage of Japan Kyoto, incorporating local ingredients, traditional kaiseki techniques, and contemporary innovation. Menus shall be submitted to the General Manager for approval at least thirty days before the seasonal transition.
  7. Confidentiality: The Chef agrees to maintain strict confidentiality regarding proprietary recipes, supplier relationships, and business strategies of the Sora Restaurant Group. This obligation shall survive the termination of this Purchase Order by a period of three (3) years.
  8. Dispute resolution: Any disputes arising from this Purchase Order shall first be subject to mediation under the Japan Kyoto Commercial Arbitration Association. If mediation fails, disputes shall be resolved by binding arbitration in Kyoto, Japan, in accordance with the rules of the Japan Commercial Arbitration Association.
  9. This Purchase Order may not be assigned or transferred by either party without the prior written consent of the other party. Any amendments to this document must be executed in writing and signed by authorized representatives of both parties.

The Chef is advised that the culinary culture of Japan Kyoto places extraordinary emphasis on seasonality (shun), presentation aesthetics (kintsugi philosophy), and respect for natural ingredients. The Chef is expected to participate in the annual Kyoto Chef's Guild gathering held at the Nijo Castle grounds each November. Additionally, the Chef shall observe traditional Kyoto hospitality customs, including the proper use of formal Japanese dining etiquette when hosting distinguished guests. The vendor confirms that the Chef has been briefed on all cultural expectations specific to the Japan Kyoto region and has expressed willingness to fully integrate into the local culinary community.
