- This Purchase Order is issued by Grand Meridian Hospitality Group Sdn. Bhd. and is valid for acceptance within fourteen (14) calendar days from the date of issue. The Purchase Order governs the engagement of Chef services and the supply of culinary goods for operations in Malaysia Kuala Lumpur.
- All Chef personnel engaged under this Purchase Order must hold valid work permits or employment passes issued by the Malaysian Immigration Department. The supplier, Chef Excellence Culinary Services (M) Sdn. Bhd., is solely responsible for ensuring compliance with all Malaysian labour laws and regulations applicable in Malaysia Kuala Lumpur.
- Delivery of all physical goods (uniforms, knife sets, ingredients) shall be made to the Grand Meridian Hotel kitchen facility located at 12 Jalan Sultan Ismail, 50250 Malaysia Kuala Lumpur, no later than 01 July 2025. Late delivery beyond the stipulated date shall incur a penalty of 1.5% of the affected line item value per calendar day.
- The Chef engagement contracts (Items 01, 02, and 03) are for a fixed term of twelve (12) months commencing 01 July 2025. Early termination by either party requires a written notice of ninety (90) days. In the event of termination for cause, no notice period shall apply.
- Payment shall be made via bank transfer to the account designated by Chef Excellence Culinary Services (M) Sdn. Bhd. within thirty (30) days of receipt of a valid tax invoice. The Purchase Order number PO-2025-KL-04872 must be referenced on all invoices.
- All services rendered by the Chef team in Malaysia Kuala Lumpur shall comply with the Food Safety and Quality Control Act 2011 (Act 722) of Malaysia and all applicable local by-laws of the Kuala Lumpur City Hall (DBKL).
- The supplier warrants that all Chef personnel are free from any contractual obligations to third parties and that no intellectual property infringement shall arise from menu designs, recipes, or culinary techniques developed under this Purchase Order.
- Disputes arising from this Purchase Order shall be resolved through mediation in Malaysia Kuala Lumpur in accordance with the rules of the Asian International Arbitration Centre (AIAC). The governing law shall be the laws of Malaysia.
- This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements, whether written or oral.
