This Purchase Order is issued by Abuja Corporate Hospitality Services Ltd. to Exquisite Culinary Solutions (Nigeria) Ltd. for the procurement of a full-time professional Chef and associated culinary support services to be deployed at the buyer's corporate dining facility located in Nigeria Abuja. The total value of this Purchase Order is Five Million, Six Hundred and Thirty Thousand Naira (NGN 5,630,000.00) per month, exclusive of applicable Value Added Tax (VAT) at 7.5% as mandated by the Federal Inland Revenue Service of Nigeria.

The Chef and all supporting culinary personnel shall be deployed to the buyer's premises at Plot 14, Aminu Kano Crescent, Wuse II, Nigeria Abuja no later than 1 July 2025. All kitchen equipment listed under Item No. 4 shall be delivered, installed, and commissioned at the Nigeria Abuja site within fourteen (14) calendar days of the acceptance of this Purchase Order. The supplier shall bear all costs associated with transportation, logistics, and installation within the Nigeria Abuja metropolitan area.

Payment for the services and goods outlined in this Purchase Order shall be made on a monthly basis. The buyer shall remit payment within fourteen (14) working days of receipt of a valid tax invoice from the supplier. Payment shall be made via bank transfer to the supplier's designated account with Exquisite Culinary Solutions (Nigeria) Ltd. at Zenith Bank Plc, Nigeria Abuja Branch, Account No. 1023-4567-8901. Late payments shall attract a penalty of 1.5% per month on the outstanding balance, in accordance with the Federal Competition and Consumer Protection Act of Nigeria.

This Purchase Order is governed by the laws of the Federal Republic of Nigeria, and any disputes arising from its execution shall be resolved through arbitration in Nigeria Abuja in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004.
The supplier warrants that the Chef and all culinary staff deployed under this Purchase Order hold valid food handler's certificates, are free from communicable diseases, and possess the requisite professional qualifications and experience as stated herein.
All services rendered under this Purchase Order shall comply with the standards set by the Nigeria Food and Drugs Administration (NAFDAC) and the Federal Ministry of Health, Nigeria Abuja.
The supplier shall maintain comprehensive public liability insurance and professional indemnity insurance for the duration of the engagement, with a minimum coverage of NGN 50,000,000.00.
Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall be liable for all services rendered and goods delivered up to the date of termination.
The supplier shall not subcontract any portion of the Chef services without the prior written consent of the buyer. Any unauthorized subcontracting shall constitute a material breach of this Purchase Order.
All intellectual property, including proprietary recipes and menu designs developed specifically for the buyer's Nigeria Abuja facility, shall remain the exclusive property of the buyer upon full payment.
The supplier shall provide a weekly performance report detailing menu execution, food waste metrics, staff attendance, and any incidents occurring at the Nigeria Abuja kitchen facility.
This Purchase Order shall remain in effect for a period of twelve (12) months from the date of deployment, after which it may be renewed by mutual written agreement of both parties.
Force majeure events, including but not limited to natural disasters, government-imposed lockdowns, or civil unrest in Nigeria Abuja, shall relieve the affected party from performance obligations for the duration of such event, provided written notice is given within 48 hours.
