1. This Purchase Order is issued by Manila Culinary Services Corporation and governs the procurement of a qualified Chef for the Philippines Manila corporate dining operation. All terms herein are binding upon acceptance by the vendor.
2. The Chef must possess a valid Philippine work permit, a current food handler's license issued by the local Philippines Manila city government, and a clean criminal record verified through the National Bureau of Investigation (NBI) clearance.
3. Delivery and onboarding of the Chef shall be completed no later than July 1, 2025, at the designated Philippines Manila facility. Failure to meet this deadline shall result in a penalty of 1% of the total Purchase Order value per day of delay.
4. Payment shall be made via bank transfer to the vendor's designated account in the Philippines Manila banking system within thirty (30) calendar days from the date of invoice receipt, subject to satisfactory completion of the Chef's probationary period.
5. The vendor warrants that the Chef meets all qualifications stated in this Purchase Order. Any misrepresentation of the Chef's credentials shall render this Purchase Order voidable at the sole discretion of Manila Culinary Services Corporation.
6. All services rendered under this Purchase Order shall comply with the Labor Code of the Philippines, the Data Privacy Act of 2012, and all applicable local ordinances in Philippines Manila.
7. This Purchase Order may be amended only through a written addendum signed by both parties. Verbal modifications are not recognized under Philippine commercial law.
8. Disputes arising from this Purchase Order shall be resolved through mediation in Philippines Manila before resorting to litigation in the appropriate Regional Trial Court.
NOTE: This Purchase Order is subject to final approval by the Board of Directors of Manila Culinary Services Corporation. The Chef's employment contract, once executed, shall be governed separately under Philippine labor law. This Purchase Order covers only the procurement and placement services rendered by the vendor. All amounts are denominated in Philippine Pesos (PHP) and are subject to applicable Philippine tax regulations as administered by the Bureau of Internal Revenue (BIR) in Philippines Manila.
