This Purchase Order governs all terms, conditions, pricing, delivery schedules, and quality specifications associated with the engagement of a lead Chef and the full complement of kitchen infrastructure necessary to deliver an exceptional culinary experience to guests in the capital city of the Russian Federation.

3.1 Payment Terms: Payment shall be made in Russian Rubles (RUB) via bank transfer to the Supplier's designated account in Moscow. A 40% advance payment is due upon acceptance of this Purchase Order. The remaining 60% shall be paid in two equal installments: 30% upon delivery and installation of all equipment, and 30% upon successful completion of the Chef training workshop and final acceptance of all goods and services.
3.2 Delivery and Installation: All equipment and supplies shall be delivered to the restaurant premises at 8 Nikolskaya Street, Moscow, 109012, no later than 30 July 2025. The Supplier is responsible for all logistics, customs clearance (where applicable for imported items), and on-site installation within Moscow city limits. The Chef and kitchen staff engagement shall commence on 1 August 2025.
3.3 Quality and Compliance: All food-grade items, equipment, and ingredients must comply with the current sanitary and epidemiological regulations of the Russian Federation, including but not limited to SanPiN 2.3.6.1079-01 and Rospotrebnadzor guidelines applicable to Moscow food service establishments. The Chef and all kitchen personnel must hold valid medical clearance certificates (медицинская книжка) as required by Russian labor and food safety law.
3.4 Warranties: All kitchen equipment carries a minimum 24-month manufacturer warranty valid in the Russian Federation. Chef services are subject to the contractual terms outlined in the separate Service Agreement referenced herein. The Supplier warrants that all ingredients delivered are fresh, unadulterated, and fit for consumption in a fine dining context in Moscow.
3.5 Cancellation and Penalties: Cancellation of this Purchase Order by the Buyer after the advance payment has been made shall result in a 15% penalty on the total order value. Late delivery by the Supplier beyond 30 July 2025 shall incur a penalty of 0.5% of the total order value per calendar day of delay, up to a maximum of 10%.
3.6 Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the Russian Federation. Any disputes arising from this Purchase Order shall be resolved through the Arbitration Court of the City of Moscow, Russian Federation.
3.7 Confidentiality: All menu concepts, Chef techniques, supplier pricing, and operational details contained in or related to this Purchase Order are confidential and shall not be disclosed to third parties without written consent from both parties. This clause is particularly relevant given the competitive fine dining landscape in Moscow.
