1. Description of Purchase Order and Scope of ServicesThis Purchase Order is issued by Baltic Culinary Group LLC for the procurement and engagement of a professional Chef to provide comprehensive culinary services at our flagship restaurant and catering facility located in Russia Saint Petersburg. 3.1 Commencement Date: The Chef shall commence all duties under this Purchase Order no later than 1 September 2025, at the designated facility in Russia Saint Petersburg. A two-week onboarding period shall precede the official start of full operational responsibilities.
3.2 Contract Duration: This Purchase Order is valid for a period of twelve (12) months from the commencement date, with an option for renewal by mutual written agreement of both parties. The Chef's engagement is subject to the terms outlined in the attached Service Level Agreement.
3.3 Payment Terms: Payment shall be made in monthly installments of $18,500.00 USD, due on the first business day of each month via wire transfer to the Supplier's designated bank account. The Buyer shall facilitate all necessary work permits, residence registrations, and professional certifications required for the Chef to legally perform duties in Russia Saint Petersburg.
3.5 Intellectual Property: All menus, recipes, and culinary concepts developed by the Chef specifically for the Russia Saint Petersburg location during the term of this Purchase Order shall remain the exclusive property of Baltic Culinary Group LLC. The Chef retains the right to use pre-existing personal culinary knowledge and techniques.
3.6 Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, the Buyer shall compensate the Chef for all services rendered up to the effective date of termination, plus any non-recoverable relocation expenses incurred for the move to Russia Saint Petersburg.
3.7 Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, financial terms of this Purchase Order, and operational details pertaining to the Russia Saint Petersburg facility. This obligation shall survive the termination of this agreement for a period of three (3) years.
3.8 Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Russian Federation. 5.
