  1. Acceptance: This Purchase Order shall become binding upon written acceptance by the Chef within seven (7) calendar days of the date of issue. The Chef acknowledges that all services described herein shall be performed exclusively within the territory of Singapore Singapore.
  2. Payment Terms: Payment shall be made on a monthly basis within thirty (30) days from the date of invoice submission. All payments shall be processed in Singapore Dollars (SGD) via bank transfer to the Chef's designated account held with a licensed financial institution in Singapore Singapore. Late payments shall attract interest at the rate of 2% per month as stipulated under the Interest Act of Singapore Singapore.
  3. Performance Standards: The Chef shall maintain the highest standards of culinary excellence, food hygiene, and operational efficiency in accordance with the regulations set forth by the Singapore Food Agency (SFA) and the National Environment Agency (NEA) of Singapore Singapore. The Chef shall comply with all applicable employment, immigration, and work permit laws of Singapore Singapore.
  4. Intellectual Property: All menus, recipes, culinary techniques, and proprietary knowledge developed by the Chef during the term of this Purchase Order shall remain the intellectual property of Meridian Hospitality Group Pte. Ltd. The Chef grants an irrevocable, perpetual license to the buyer for use within Singapore Singapore and internationally.
  5. Confidentiality: The Chef agrees to maintain strict confidentiality regarding all business operations, supplier information, financial data, and trade secrets of the buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years under the laws of Singapore Singapore.
  6. Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately. Termination shall be governed by the Contract (Rewards) Act and the Contract (General Part) Act of Singapore Singapore.
  7. Dispute Resolution: Any disputes arising from or in connection with this Purchase Order shall be resolved through mediation in Singapore Singapore, and failing resolution, through arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules. The seat of arbitration shall be Singapore Singapore, and the language of arbitration shall be English.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies as declared by the authorities of Singapore Singapore.
  9. Compliance with Local Law: The Chef warrants that all services rendered under this Purchase Order shall comply with the Employment Act, the Work Pass regulations, and all relevant statutes of Singapore Singapore. The Chef shall maintain valid work authorization for the duration of the engagement in Singapore Singapore.
  10. Insurance: The Chef shall maintain comprehensive professional indemnity insurance and public liability insurance with a minimum coverage of SGD 1,000,000, issued by an insurer licensed in Singapore Singapore, for the entire duration of this Purchase Order.

The Chef shall commence all services on or before 1 August 2025 at the buyer's premises in Singapore Singapore. The buyer shall conduct a formal acceptance review at the conclusion of each monthly period. Any deficiencies in the services provided by the Chef shall be communicated in writing within five (5) business days, and the Chef shall rectify such deficiencies within ten (10) business days at no additional cost to the buyer. All service deliverables shall be accepted in accordance with the standards established for culinary professionals operating in Singapore Singapore.
