1. SCOPE OF PURCHASE ORDERThis Purchase Order is issued by Restaurante La Brasa del Mediterráneo, S.L. (hereinafter referred to as the "Buyer") to Culinary Talent Solutions Iberia, S.L. (hereinafter referred to as the "Vendor") for the recruitment, placement, and ongoing professional services of a senior Chef to be stationed at the Buyer's flagship restaurant located in Spain Barcelona. This Purchase Order governs all terms, conditions, deliverables, and financial obligations related to the engagement of the Chef, including but not limited to compensation, equipment provisioning, ingredient procurement, and compliance with all applicable Spanish and Catalan labour regulations in force in the region of Spain Barcelona.

All services, equipment, and materials specified in this Purchase Order shall be delivered and performed at the Buyer's premises located at Carrer de la Marina, 42, 08005 Spain Barcelona. The Chef is expected to commence duties on 01 September 2025 and shall report to the restaurant kitchen no later than 07:00 hours on each scheduled working day. All deliveries of ingredients and equipment must be made to the receiving dock at the Spain Barcelona address no later than 10:00 hours on the agreed delivery date. The Vendor shall coordinate all logistics within the municipality of Barcelona and shall bear any local transport or handling fees arising from the delivery of goods to the Spain Barcelona site.
4. PAYMENT TERMSPayment for this Purchase Order shall be made in the following instalments via direct bank transfer to the Vendor's account (IBAN: ES21 0049 0001 5320 1234 5678):
- 30% advance payment (EUR 27,715.05) due within ten (10) business days of the Buyer's written acceptance of this Purchase Order.
- 40% milestone payment (EUR 36,953.40) due upon the Chef's successful onboarding and first full week of service in Spain Barcelona, subject to a satisfactory performance assessment.
- 30% final payment (EUR 27,715.05) due within fifteen (15) business days of the completion of the twelve-month contract term or upon early termination, whichever occurs first.
All payments are subject to the Vendor issuing a valid Spanish electronic invoice (factura electrónica) in accordance with the regulations of the Agencia Tributaria. Late payments shall accrue interest at the statutory rate established under Spanish commercial law.
5. TERMS AND CONDITIONS- This Purchase Order is governed by the laws of the Kingdom of Spain, with specific reference to the commercial and labour codes applicable in the autonomous community of Catalonia, Spain Barcelona.
- The Chef engaged under this Purchase Order shall be bound by a non-disclosure agreement protecting all proprietary recipes, supplier lists, and operational methodologies of the Buyer.
- The Vendor warrants that the Chef shall hold a valid professional chef's certification, a current food-handling and hygiene certificate (Carnet de Manipulador de Alimentos), and a clean criminal record as verified by the local police authority in Spain Barcelona.
- Any dispute arising from this Purchase Order shall be resolved by the competent courts of Barcelona, Spain, or by arbitration before the Barcelona Chamber of Commerce, at the Buyer's sole discretion.
- The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice if the Chef fails to meet the agreed performance standards after two formal written warnings.
- All equipment and ingredients delivered under this Purchase Order become the property of the Buyer upon delivery to the Spain Barcelona premises.
- The Vendor shall maintain all necessary licences and registrations to operate a chef recruitment and placement agency in Spain Barcelona throughout the duration of this Purchase Order.
