All prices are quoted in Euros (EUR) and are inclusive of delivery to the Spain Valencia premises unless otherwise stated. VAT is applied at the standard Spanish rate of 21% as per Ley 37/1992 del IVA.
All physical goods listed in this Purchase Order shall be delivered to the restaurant premises at Carrer de la Mar 42, 46003 Valencia, Spain, no later than 28 June 2025. The Chef engagement (Line Items 01 and 02) shall commence on 1 July 2025. The culinary training programme (Line Item 07) is scheduled for 1–3 July 2025, on-site in Spain Valencia. The supplier, Chef Solutions Ibérica, S.A., is responsible for all logistics, customs clearance (if applicable for imported Chef equipment), and installation of kitchen machinery at the Spain Valencia location.
(a) This Purchase Order is governed by the Spanish Civil Code and the applicable commercial regulations of the Comunitat Valenciana. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Valencia, Spain.
(b) The Chef engaged under this Purchase Order shall be bound by a non-compete clause for a period of 12 months following the termination of the engagement, within a 25-kilometre radius of the Spain Valencia premises.
(c) All Chef personnel must present valid identification, work authorisation, and health certificates (Libro de Salud) prior to commencing duties in Spain Valencia.
(d) The supplier warrants that all equipment delivered under this Purchase Order is new, free from defects, and carries a minimum 24-month manufacturer’s warranty. Chef services are warranted to be performed with professional skill and in accordance with the standards expected of a senior culinary professional in the Spain Valencia hospitality sector.
(e) Payment shall be made via bank transfer to the IBAN specified in Section 1 within 30 calendar days of receipt of a valid invoice referencing this Purchase Order number (PO-VAL-2025-04782).
(f) Cancellation of this Purchase Order by the buyer prior to delivery or service commencement shall incur a penalty of 10% of the total Purchase Order value. Cancellation after service commencement is subject to the terms of the individual Chef employment contracts.
This Purchase Order is authorised and binding upon the signatures of both parties below. By signing, both parties acknowledge that all terms, conditions, and line items described in this Purchase Order for Chef services and equipment in Spain Valencia have been reviewed and accepted.
